The Mandatory Development Obligations shall enter into commercial service on Project COD whereupon the Concessionaire shall be entitled to provide Hospitality Services and charge Revenue from the Users, subject to compliance with Applicable Laws, Applicable Permits, Good Industry Practice and provisions of this Agreement.
The Performance Security shall remain in force and effect for a period of [6 (six) months] from the Project COD (the “Performance Security Period”); provided, however, that the Performance Security shall not be released if the Concessionaire is in breach of this Agreement.
Until Project COD, the Independent Engineer shall inspect the construction and development of the Project, at least once a month and make a report of such inspection (the "Inspection Report") stating in reasonable detail the defects or deficiencies, if any, with particular reference to the Specifications and Standards.

In the event that on the Project COD Deadline, the In-Service Date has occurred but the Contract Capacity is less than the Project Capacity, Seller shall pay Liquidated Damages in the amount of one hundred fifty thousand dollars ($150,000), multiplied by the number of MW by which the Contract Capacity is below the Project Capacity less any Daily Delay Liquidated Damages previously paid by Seller (“Contract Capacity Buy-Down Liquidated Damages”).
If Buyer determines that Seller’s proposed recovery plan is not likely to restore the progress or completion of the Project during the Construction Period, Buyer shall have the right to require Seller to implement, or cause to be implemented, measures determined in its sole reasonable discretion to bring the Project back on schedule for achievement of the Project COD Target Date.
Without prejudice to the provisions of Clause 12.1, if the rate of progress of Development Works is such that the Mandatory Development Obligation is not likely to be completed within the time period stipulated, the Concessionaire shall inform the Independent Expert at fortnight intervals, in reasonable detail about the steps it proposes to take to expedite progress and the period within which it shall achieve the Project COD.
The Authority agrees to provide to the Concessionaire cash support by way of an outright grant equal to the sum set forth in the Bid, namely, [Rs. [●] (Rupees [●])] which is summation of the following capital grant and NPV of O&M Cost of five years post Project COD as operation grant, in accordance with the provisions of this Article 29 (the “Grant”).
