Proper Documentation definition

Proper Documentation means correct and complete versions of the following: (A) a Letter of Transmittal representing shares of the applicable Company Stock reflected therein, (B) Certificates for the applicable Company Stock reflected in the Letter of Transmittal (or in the absence of such Certificates, affidavits of lost Certificates in a form acceptable to Buyer acting reasonably), (C) a questionnaire, in a form acceptable to Buyer acting reasonably, whereby the Selling Party represents under penalty of perjury whether the Selling Party is an Accredited Selling Party, and (D) all other documents contemplated in the Letter of Transmittal. Buyer acknowledges that the Company has not issued new stock certificates for the stock split effected on March 16, 2010 and therefore existing Certificates which reflect pre-split share numbers shall be deemed to also represent the actual post-split share numbers reflected on the stock transfer books of the Company and therefore are acceptable in demonstrating Proper Documentation.
Proper Documentation is defined in Section 1.11(a).
Proper Documentation means for the purposes of this Appendix 2-7 [Leave to Commence] all the documents, including drawings, design information, work plans, safety plans, Environmental Protection Plans and other information requested and required by the Independent Engineer and the Environmental Monitor with respect to, or to be included with, an application for a specific Leave to Commence Construction, each of which document has been prepared in accordance with Good Industry Practice and as applicable been endorsed Accepted by Hydro’s Representative as may be required by the Contract Documents; and

  • Upon the Development Entity’s receipt of the the Department’s written approval of the Proper Documentation estimate, the Development Entity will send the signed Service (or Line) Extension Agreement to the Utility Owner and will pay the Utility Owner the estimate in the Proper Documentation.

Related to Proper Documentation

  • User Documentation means that documentation regarding the operation, guidelines and features and functionality of Clover Insights that is made available to you from time to time at the website, by internet link or otherwise. User Documentation may be modified from time to time by First Data or its third party provider(s).

  • Related Documentation means, with respect to Software, all materials, documentation (including control documentation utilized in connection with an audit), specifications, technical manuals, user manuals, flow diagrams, file descriptions and other written information that describes the function and use of such Software, but excluding source code.

  • DMA Customer Documentation means the agreements (together with any applicable schedules, exhibits or appendices thereto required by BSEF) in form and substance acceptable to BSEF, that are required to be executed and delivered to BSEF before a DMA Customer may access the SEF Platform. Except as otherwise provided in these Rules, in the event of any conflict between these Rules and the DMA Customer Documentation, these Rules shall govern.

  • Supporting Documentation means the documents listed in Schedule A of this Certificate which forms part of this

  • Account Documentation means any and all Account information, credit applications, Cardholder Agreements and change in terms notices, Charge Transaction Data, charge slips, credit slips, payments, credit information and documents or forms of any type and in any media relating to the Program, excluding materials used for advertising or solicitations.
