Properly authorized definition

Properly authorized means those representatives of the Manager who are authorized, pursuant to the Fund's custody agreement with the Custodian, to give instructions to the Custodian under such custody agreement. The Fund agrees to be responsible for any custodial fees.
Properly authorized means those representatives of the Adviser who are authorized, pursuant to the Custody Agreement, to give instructions to the Custodian under the Custodian Agreement. Any assets added to the Fund shall be delivered directly to the Custodian.
