Proprietary Data definition

Proprietary Data means Data embodying trade secrets developed at private expense or commercial or financial information that is privileged or confidential, and that includes a restrictive notice, unless the Data is: a. known or available from other sources without restriction; b. known, possessed, or developed independently, and without reference to the Proprietary Data; c. made available by the owners to others without restriction; or d. required by law or court order to be disclosed.
Proprietary Data means, with respect to any Person, any information that separately discloses business transactions, market positions or trade secrets of such Person.
Proprietary Data means Technical Data which embody trade secrets developed at private expense, outside of this agreement, such as design procedures or techniques, chemical composition of materials, or manufacturing methods, processes, or treatments, including minor modifications thereof, provided that such data: a. Are not generally known or available from other sources without obligation concerning their confidentiality. b. Have not been made available by the owner to others without obligation concerning their confidentiality, and c. Are not already available to the CONTRACTOR or the Government without obligation concerning their confidentiality. d. Are marked as “Proprietary Data.”

Examples of Proprietary Data in a sentence

  • CONTRACTOR agrees that to the extent it receives or is given access to Proprietary Data or other technical, business or financial data in the form of recorded information from USER, CONTRACTOR shall treat such data in accordance with any restrictive legend contained thereon.

  • Launch or Reentry Operator Proprietary Data and Controlled Government Data shall be identified in the Annex under which it will be provided.
