Provisional Operations Start Date definition

Provisional Operations Start Date means the Day on which a provisional acceptance certificate is issued to the Company after successful testing and commissioning of the Facilities following the testing procedures provided in Schedule D (Testing and Commissioning).

  • Except with respect to liquidated damages payable pursuant to this Agreement for non-occurrence of the Effective Date and for delay in achieving the Provisional Operations Start Date, no remedy or right herein conferred is intended to be exclusive of any other remedy or right, but every such remedy or right shall be cumulative and shall be in addition to every other remedy or right herein conferred or now or hereafter existing at law or in equity.

  • If the Facilities meet the Service Quality Requirements for a period of six (6) months from the Provisional Operations Start Date as certified by the Independent Verifier, the Agency shall issue a final acceptance certificate and the Facilities shall thereafter be operated by the Company in accordance with the Operating Procedures and Service Quality Requirements.

  • If a Force Majeure Event occurs on or after the Provisional Operations Start Date, the Operations Start Date may be equitably extended upon written agreement of the Parties.

  • For the first Billing Month of the contract term, the Agency shall make the nomination at least five (5) Days prior to the Provisional Operations Start Date.

  • Not later than two (2) years prior to the Termination Date, or, in the event the Termination Date will occur earlier than the []th anniversary of the Provisional Operations Start Date, as soon as practicable after such earlier Termination Date is known to the Parties, the Company shall permit the LGU to inspect the Facilities.

  • Commercial Operations Date or "COD": The date on which Facility first achieves Commercial Operations.

  • Commercial Operation Date means the date on which a Material Project is substantially complete and commercially operable.

  • Commercial Operations Upon satisfaction of the following conditions, the Facility shall be considered to have achieved Commercial Operations on the Day specified in Seller's written notice described below: (i) the Acceptance Test has been passed, (ii) all generating units have passed Control System Acceptance Tests, (iii) the Transfer Date has occurred, (iv) Seller has (1) provided to Company the Required Models (as defined in Section 6(a) (Seller's Obligation to Provide Models) of Attachment B (Facility Owned by Seller)) in the form of Source Code, (2) placed the current version of the Source Code for the Required Models with the Source Code Escrow Agent as required in Section 6(b)(i)(A) (Establishment of Source Code Escrow) of Attachment B (Facility Owned by Seller), or (3) if Seller is unable to arrange for the placement of the appropriate Source Code into the Source Code Escrow account, placed the required funds with the Monetary Escrow Agent as required in Section 6(b)(ii)(A) (Establishment of Monetary Escrow) of Attachment B (Facility Owned by Seller), and (v) Seller provides Company with written notice that (aa) Seller is ready to declare the Commercial Operations Date and (bb) the Commercial Operations Date will occur within 24 hours (i.e., the next Day).
