Purchase Condition Satisfaction Time shall have the meaning assigned to such term in Section 7.3.

Purchase Condition Satisfaction Time means, with respect to any VWAP Purchase made pursuant to Section 2.2, 9:00 a.m., New York City time, on the Trading Day immediately following the applicable VWAP Purchase Exercise Date on which the VWAP Purchase Commencement Time for such VWAP Purchase shall occur.
