From and after the Project Substantial Completion Date and subject to any requirements of Applicable Law, the Real Property Documents and the terms of this Agreement (including Section 5.5 and the last sentence of Section 4.6), Owner shall provide O&M Contractor and its Subcontractors, agents and employees with access to the Project and the relevant portion of the applicable Site at all times and without prior notice to the extent required to perform the Services or any activity related to the Services.
The Real Property Interests constitute good and valid interests in and to the Site pursuant to the Real Property Documents, in each case as is necessary for the Development at the time this representation and warranty is made or deemed repeated.
With respect to each such Mortgage, the Borrower shall deliver (at its expense) to the Administrative Agent contemporaneously therewith all Real Property Documents requested by the Administrative Agent pursuant to the terms of this Agreement, other than those Real Property Documents which are to be obtained (at the Borrower’s expense) by the Administrative Agent.
All obligations to pay real property or other taxes, assessments, insurance premiums, and all other fees and charges arising from any Project Document or the ownership, operation or occupancy of the Projects and to perform all obligations under the Project Documents, the Real Property Documents and any other agreements and contracts relating to the Projects shall be the sole responsibility of the Noble Entities, as applicable.
None of the Real Property Documents shall be amended or terminated by the Company or by any Shareholder without the prior written consent of Purchaser.
