Each of the Sellers has the requisite corporate power and authority to execute, deliver and perform its respective obligations under this Agreement, the Transition Services Agreement, the Assignment and Assumption Agreement, the Real Property Lease Assignments, the Deeds and the other documents and agreements contemplated hereby and thereby to which such Seller is a party (collectively, the “Transaction Documents”) and to consummate the transactions contemplated hereby and thereby.
If Seller obtains prior to the Closing Date such consent, Seller shall assign to Buyer and Buyer shall accept from Seller an assignment of such Assigned Lease in accordance with Section 3.2 hereof (the "Real Property Lease Assignments").
