Recipient’s Obligations definition

Recipient’s Obligations means those obligations of Recipient, if any, as set out in Schedule 5;

Examples of Recipient’s Obligations in a sentence

  • The obligations of Recipient set forth under "Recipient’s Obligations" above shall survive the termination or expiration of this Agreement.

  • Without limiting any other term of this Agreement, the following clauses survive termination or expiry: clause 2 [Recipient’s Obligations and Responsibilities]; clause 4 [Confidentiality]; and clause 6 [Indemnity].

  • Recipient’s Obligations: The recipient of confidential or trade secret information shall take reasonable steps to protect the confidential nature of discloser’s confidential or trade secret information.

Related to Recipient’s Obligations

  • Bank Products Obligations of any Person means the obligations of such Person pursuant to any Bank Products Agreement.

  • Obligations means any principal, interest, penalties, fees, indemnifications, reimbursements, damages and other liabilities payable under the documentation governing any Indebtedness.

  • Derivatives Obligations of any Person means all obligations of such Person in respect of any rate swap transaction, basis swap, forward rate transaction, commodity swap, commodity option, equity or equity index swap, equity or equity index option, bond option, interest rate option, foreign exchange transaction, cap transaction, floor transaction, collar transaction, currency swap transaction, cross-currency rate swap transaction, currency option or any other similar transaction (including any option with respect to any of the foregoing transactions) or any combination of the foregoing transactions.

  • Compliance Obligations means obligations of the AMC to comply with: (a) laws or international guidance and internal policies or procedures, (b) any demand or request from authorities or reporting, disclosure or other obligations under laws, and (c) laws requiring us to verify the identity of our customers.
