Redirected Distribution Amount definition

Redirected Distribution Amount means any amounts paid by the Partnership to any Class A-II Representative Indemnitee pursuant to Section 7 of Exhibit F in connection with, as a result of or arising out of any claim, demand, proceeding or litigation asserted by any holder of Class A-II Units (such holder, an “Asserting Party”) and not reimbursed by the Asserting Party or the other holders of Class A-II Units within 30 days of demand therefor.
Redirected Distribution Amount means, other than MAC Cure Amounts, the amount of Adjustment Loss attributable to a Redirected Partner.
Redirected Distribution Amount. As to any Distribution Date, prior to giving effect to any amounts distributable to Class B Certificateholders on such Distribution Date, with respect to which the Class B Principal Balance is less than or equal to the Minimum Required Class B Principal Balance, the Redirected Distribution Amount shall be equal to the amount otherwise distributable to holders of the Class B Certificates as Class B Distribution on such Distribution Date in excess of the sum of clauses (y)(i) and (y)(ii) under the definition of Class B Distribution for such Distribution Date. As to any Distribution Date with respect to which the Class B Principal Balance is greater than the Minimum Required Class B Principal Balance, the Redirected Distribution Amount shall be an amount equal to the excess, if any, of (A) the amount, if any, otherwise distributable to holders of the Class B Certificates on such Distribution Date in excess of the sum of clauses (y)(i) and (y)(ii) under the definition of the Class B Distribution for such Distribution Date, over (B) the amount of the difference between the Class B Principal Balance on such Distribution Date and the Minimum Required Class B Principal Balance.

  • No amount treated as a Redirected Distribution Amount pursuant to this Section 8.13(b) shall excuse the Disputing Party from its indemnification obligations (if any) pursuant to Article X if the amount of Taxes as ultimately determined (on audit or otherwise) for the periods covered by such Pre-Closing Returns exceeds the amount of the Redirected Distribution Amount under this Section 8.13(b).

  • In the event of a dispute with respect to any such Post-Closing Return, the disputed amounts become a Redirected Distribution Amount of the Disputing Party promptly when such items in dispute are resolved pursuant Section 8.13(g).

  • Principal Distribution Amount For any Distribution Date, the sum of (i) the Basic Principal Distribution Amount for such Distribution Date and (ii) the Extra Principal Distribution Amount for such Distribution Date.

Such amount shall be determined separately for each Loan Group. Additionally, with respect to any Mortgage Pool that is comprised of two or more Loan Groups, if on any Distribution Date Compensating Interest provided pursuant to this Section 3.16(e) is less than Prepayment Interest Shortfalls incurred on the Mortgage Loans in connection with Principal Prepayments in Full and Curtailments made in the prior calendar month, such Compensating Interest shall be allocated on such Distribution Date to the Available Distribution Amount for each Loan Group on a pro rata basis in accordance with the respective amounts of such Prepayment Interest Shortfalls incurred on the Mortgage Loans in such Loan Group in respect of such Distribution Date.

  • Extra Principal Distribution Amount As of any Distribution Date, the lesser of (x) the related Total Monthly Excess Spread for such Distribution Date and (y) the related Subordination Deficiency for such Distribution Date.
