Examples of Reference Share in a sentence
In cases where the Stock Price is determined by reference to the consideration paid (or deemed paid) per Reference Share in a Fundamental Change or Make-Whole Fundamental Change and such consideration is other than cash, the Stock Price shall be the Current Market Price of such Reference Shares over the 10 Scheduled Trading Day valuation period ending on, and including, the Trading Day immediately preceding the Effective Date of such Fundamental Change, or Make-Whole Fundamental Change.
The number of Reference Shares that the Company shall deliver in lieu of cash shall equal the number obtained by dividing the Put Purchase Price or such specified percentage thereof, as the case may be, by the Current Market Price of a Reference Share.
In the case of delivery by the Company of solely Reference Shares in satisfaction of its exchange obligation, the Closing Price of the applicable fraction of a Reference Share shall be determined by multiplying such fraction by the Closing Price of the Reference Shares on the Trading Day immediately preceding the applicable Exchange Date and rounding the product to the nearest whole cent.
For this purpose, the Current Market Price of a Reference Share shall be calculated by the Company using the 30 Trading Day period commencing on the 33rd Scheduled Trading Day preceding the Purchase Date as the valuation period.
