The Indenture Trustee shall give notice of the occurrence of every Related Event of Default to the Administrative Agent and all other Specified Creditors to whom Related Secured Obligations are owed based on a Certificate of the Trust and each of the Related Rating Agencies within five Business Days after the Indenture Trustee receives notice of the occurrence thereof.
Subject to Section 8.03, an Event of Default with respect to a Series of Notes or, if applicable, a Class of Notes means (i) the occurrence of any event specified as a Related Event of Default in the Related Supplement; and (ii) the occurrence and continuance of a Trust Insolvency Event.
The Borrower shall repay the Class VPN Loans by paying to the Lender the amounts allocated toward the repayment of principal pursuant to Section 2.5. Notwithstanding the foregoing, the Class VPN Loans, including all principal and accrued interest thereunder, shall become due and payable on the earlier of (!) the Final Scheduled Payment Date and (ii) the occurrence of a Related Event of Default (as such term defined in the Trust Indenture) in respect of the Class VPN Loans or the Class A Notes.
Upon the occurrence and during the continuance of a Related Event of Default, the Indenture Trustee shall establish and maintain one or more Related Collateral Accounts in respect of the Notes of each particular Series into which shall be deposited all Related Collections (and the proceeds of and interest on any Permitted Investments thereof) such that the Related Collections required herein to be applied to the payment of Related Obligations Secured shall be segregated.
The Indenture Trustee shall give notice of the occurrence of every Related Event of Default to the Related Rating Agencies as soon as possible but in any event within five Business Days after the Indenture Trustee receives notice of the occurrence thereof.
Provided that no Amortization Event, Servicer Termination Event or Related Event of Default has occurred and is continuing, the Seller shall have the option to repurchase all Assigned Obligor Account Assets under an Obligor Account if the related Obligor Account has become a Charged-Off Obligor Account, provided that such repurchase will not result in an Amortization Event or Related Event of Default.
Upon receipt of (i) a Certificate of the Trust stating that no Related Event of Default has occurred and is continuing; and (ii) a Written Order for payment to the Trust, the Indenture Trustee shall pay or cause to be paid all interest earned on moneys so deposited to the Trust.
If, following the occurrence of a Related Event of Default which is then continuing, any Related Specified Creditor receives any amount in satisfaction of any part of the Related Obligations Secured from any source whatsoever other than pursuant hereto, such amount shall be held in trust for and immediately remitted to the Indenture Trustee and shall be applied by the Indenture Trustee in the manner provided in Section 9.5.
The appointment of the Trust pursuant to Section 12.10(2) may be revoked by the Indenture Trustee at any time in respect of Related Collateral by notice in writing to the Trust upon a Significant Event having occurred in respect of Related Programme Agreements, but only so long as it is continuing, and shall be automatically revoked in respect of Related Collateral upon a Related Event of Default.
No such rescission shall affect any subsequent Related Default or Related Event of Default or impair any right consequent thereto.
