Relevant IP definition

Relevant IP means, collectively, the Company IP, Company Direct Licensed IP, Company Used IP and Parent Licensed IP.

  • At the Closing, the Purchaser will, subject, for each piece of Relevant IP, to the ownership interest of the joint owners set forth on Schedule 4.13(c) with respect to such piece of Relevant IP, acquire sole and exclusive ownership of the Transferred IP, free and clear of all Encumbrances, and all rights, title and interest of DI and DIPI (and of any other Person, including SABV, other than the Purchaser) to the Transferred IP will be relinquished.

  • Upon the request of CMED or its Affiliates, the Seller Parties shall, and shall cause the Seller Group and their Affiliates to, promptly provide CMED or its Affiliates with transitional technical support to operate the Designated Assets, PRC IP Rights and/or Relevant IP Rights.

More Definitions of Relevant IP

Relevant IP means all Patents other than Design Patents that Honeywell has the right to license (including Patents obtained by Honeywell through the Acquisition) that contain a claim infringed directly or indirectly by a Relevant Device.
