On and after the 181st day following the Effective Date, transfers to others may be made subject to compliance with or exemptions from applicable securities laws, provided, however, that any transferee (and any subsequent transferees) must agree to the restrictions on transfer and redemption contained in this Section 1.4. The certificates for the Representative Shares shall contain legends to reflect the above FINRA and contractual transfer restrictions.
The holders of the Representative Shares shall have registration rights as provided for in the Registration Rights Agreements (as defined in Section 2.21.4).
The Company shall deliver to the Representative (and/or its designees) in the form of book-entry the Representative Shares in the name or names and in such authorized denominations as the Representative may request.
In the event that the Over-allotment Option is not exercised in full, the Sponsor will be required to forfeit such number of Founder Shares (up to 500,000 Founder Shares) such that the Founder Shares then outstanding will comprise approximately 25% of the issued and outstanding shares of the Company (excluding the Placement Shares (as defined below) and the Representative Shares (as defined below)) after giving effect to the Offering and exercise, if any, of the Over-allotment Option.
The Representative has agreed not to transfer, assign or sell any such Representative Shares without prior consent of the Company until the completion of the initial Business Combination.
