The consummation (the “Closing”) of the Exchange and the other transactions contemplated by this Agreement, the Restructuring Documentation and the Related Agreements (collectively the “Transactions”) will take place in the sequence described on Schedule 2 hereto, at the offices of Sheppard, Mullin, ▇▇▇▇▇▇▇ & ▇▇▇▇▇▇▇ LLP, ▇▇ ▇▇▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇, ▇▇▇ ▇▇▇▇, ▇▇ I 0112 unless another sequence or place is agreed to by the Company and Cetus.
The Company has all requisite corporate power and authority to enter into this Agreement and each of the other agreements, certificates or documents contemplated hereby, including the Restructuring Documentation (collectively, the “Related Agreements”) to which it is or will be a party, to perform its obligations hereunder and thereunder, and to consummate the Transactions.
All documentation and pleadings prepared in connection with the Restructuring, including the First Amended Plan, the Definitive Restructuring Documentation, and any documents, motions, pleadings, orders or the like prepared or filed in connection with the Chapter 11 Cases shall be in form and substance satisfactory to the Parties; and where Court approval is required for a Definitive Restructuring Document, such approval shall have been obtained.
This Term Sheet is the “Restructuring Term Sheet” referenced in the Restructuring Support Agreement (as amended, supplemented or otherwise modified in accordance with its terms, the “RSA”), dated as of June 14, 2020 and to which this Term Sheet is attached as Exhibit B.1 This Term Sheet does not address all terms that would be required in connection with the Restructuring or that will be set forth in the Definitive Restructuring Documentation which are subject to negotiations and execution.
Sellers shall provide Buyer drafts of all Restructuring Documentation at least five (5) Business Days prior to the Closing Date.
The Restructuring shall be consummated pursuant to the Restructuring Documentation in all material respects, in each case, in form and substance substantially similar to the draft documentation provided to Buyer prior to the Signing Date.
Documentation All documentation prepared in connection with the Restructuring, including without limitation, the Plan, the Definitive Restructuring Documentation, and any documents, motions, pleadings, orders or the like prepared or filed in connection with the Chapter 11 Cases shall be in form and substance satisfactory to the Parties.
All such Restructuring Documentation shall be subject to Buyer’s review and approval, which shall not be unreasonably withheld, conditioned or delayed.
The Borrower has delivered to the Administrative Agent a complete and correct copy of the Restructuring Documentation, including any amendments, supplements or modifications with respect to any of the foregoing.
The Definitive Restructuring Documentation will include, among other things, various Environmental Settlement Documents concerning the resolution of Environmental Claims that shall be submitted for the approval of officials authorized on behalf of the Governmental Environmental Entities (as defined below) that have, or have asserted, Environmental Claims.
