Return of Property definition

Return of Property. Promptly upon request or upon termination hereof, Company shall deliver to Velocys all proprietary or business sensitive Information as described in section No. 8., entitled, “Confidentiality” and all other records, reports, data, memoranda, notes, models, and equipment of any nature (hereinafter "Property") that is in possession of or under control of, prepared or acquired by Company in the course of services under this Agreement. Further, Company agrees not to take with them or to disclose any such Property or reproductions of any such Property, that relate to the business activities of Velocys without the prior written consent of an authorized representative of Velocys.

  • Notwithstanding anything in the foregoing to the contrary, Employee will be entitled to such payments only if Employee has complied in full with the terms of this Agreement following Employee’s termination (e.g., Confidentiality, Return of Property obligations, etc.).

  • All such additional payments and benefits under this Section 5.02 shall be conditional on Executive’s timely execution and non-revocation of the Release (as defined in Section 7.0) and Executive’s continued compliance with Section 11.0 (Return of Property), Section 14.0 (Confidentiality), Section 15.0 (Work Product Assignment), and Section 16.0 (Covenant Not to Compete).

  • The “Company” as used in Section 10 (Confidential Information, Return of Property, Developments) shall mean the Company and its affiliates.

  • For purposes of the restrictions in Sections 5 (Executive Work Product and Inventions) 6 (Confidential Information), 7 (Non-Compete), 8 (Non-Interference), 9 (Non-Raiding), 10 (Reasonableness), 11 (Remedies) and 15(g) (Return of Property), the “Company” shall mean: (a) Professional Diversity Network, Inc.; (b) any parent, subsidiary, affiliate or successor (each, an “Affiliate”) of Professional Diversity Network, Inc.

  • The provisions of the Employment Agreement relating to Non-Disclosure, Return of Property and Competition (Sections 12, 13, and 14) shall continue in full force and effect, and, if Executive is employed by Anth▇▇, ▇▇▇ ▇▇▇ms "Company" and "Assigned Subsidiary" in those provisions shall refer to Anthem, as applicable.

  • Employee acknowledges his continuing obligations under Section 7 of the Employment Agreement and reaffirms his duties to abide by the terms of Section 7 of the Employment Agreement, including but not limited to its requirements regarding Confidential Information (Section 7.1), Return of Property (Section 7.2), Non-Compete Obligations (Section 7.3), Non-Solicitation (Section 7.4) and Assignment of Developments (Section 7.5).

  • This Agreement and the Confidentiality and Return of Property Agreements set forth in the Offer Letter which survive termination of Executive’s employment with the Company, contain and constitute the entire understanding and agreement between Executive and the Company and supersede and cancel any other previous oral and written negotiations, agreements, and commitments between the Parties.

  • Return of Property: Upon the Company’s request or your termination of employment for any reason, you shall promptly return to the Company all property of the Company, including but not limited to: originals and hard and electronic copies of records, documents, Confidential Information, computer and office equipment, other equipment, plans, designs, electronic devices, keys, access cards, passwords, credit cards, and other tangible and intangible items, in whatever form, in your possession or control.

  • Public Property means any and all property owned by the City or held in the name of the City by any of the departments, commissions or agencies within the City government.
