There shall be two performance measures, Relative Return to Shareholders and Return on Invested Capital, as both are defined below.
Each company in the Index will then be ranked in descending order by the Total Return to Shareholders so calculated and the Corporation’s Total Return to Shareholders shall be ranked in relation thereto, using the method specified on Exhibit A.
Each company in the Peer Group will then be ranked in descending order by the Total Return to Shareholders so calculated and the Corporation’s Total Return to Shareholders shall be ranked in relation thereto, using the method specified on Exhibit A.
The Total Return Incentive Fee shall be based on the Total Return to Shareholders (as defined below) for each share class of the Company in any calendar year, payable annually in arrears.

The Grantee will not become entitled to Restricted Shares with respect to the Notional Units subject to this Agreement unless and until the Committee determines the Total Return to Shareholders and, if required for calculation of the number of Restricted Shares to be issued pursuant to Sections 3(b)(ii) and (iii), the 50th Percentile.
For purposes of this Agreement, Total Return to Shareholders for the Performance Period for the Corporation and for each company in the Peer Group and for each company in the Index will be the Total Return to Shareholders for those companies, as such amounts are calculated and reported as provided on Exhibit A.
The Grantee will not become entitled to Restricted Shares with respect to the Notional Units subject to this Agreement unless and until the Committee determines the Total Return to Shareholders, the 50th Percentile, 60th Percentile and 70th Percentile.
Buyer shall send a draft of any such Tax Return to Shareholders' Representative at least thirty (30) days prior to filing, and permit Shareholders' Representative to review and comment in writing (all such comments to be delivered to Buyer at least fifteen (15) days prior to filing) on each such Tax Return described in the preceding sentence (excluding items not relating to the period ending with the Closing Date).
Without limiting Section 10.4 of the Plan, if the Committee retains a valuation or other expert or consultant to calculate Total Return to Shareholders, including matters such as the determination of dividend reinvestment and the inclusion or exclusion of persons in the Peer Group, the Committee is entitled to rely on the advice, opinions, valuations, reports and other information furnished by such valuation or other expert or consultant.
