If the Placement Agent declines to exercise the Right of First Refusal, the Company shall have the right to retain any other person or persons to provide such services on terms and conditions which are not more favorable to such other person or persons than the terms declined by the Placement Agent.
Silence shall be deemed a waiver of the Right of First Refusal with respect to the current Right of First Refusal Event.
If the Representative fails to exercise its Right of First Refusal with respect to any Subject Transaction within two (2) Business Days after the mailing of such written notice, then the Representative shall have no further claim or right with respect to the Subject Transaction.
