These additional license terms apply to the Sample Source Code, licensed by Microsoft Corporation or their affiliates (“Microsoft”) to TI.
In the event of a conflict between this Agreement and Exhibit 2, the terms of Exhibit 2 shall control with respect to the Sample Source Code.
Licensee shall ensure (and shall conclude suitable agreements so that any Authorized Third Parties shall ensure) that access to the Sample Source Code shall only be provided to those within its organization on a “need to know” basis.
For the purposes of this Exhibit A, and the license provided herein, Materials include any Executable Code, Source Code, Sample Source Code, and Pre-Release Materials, but do not include Third Party Programs.
Licensee may distribute the Sample Source Code related to the SDK, including any applications (whether modified or unmodified), as a standalone product to Licensee’s customers or contractors (who shall not have the right to sublicense or further distribute the Sample Source Code), provided such distribution is solely in order to exercise Licensee’s rights under this Agreement (such parties are hereinafter referred to as “Authorized Third Parties”).
The Cognex Software may contain sample source code that Licensee is permitted to include in Licensee’s applications subject to this Sample Source Code License.
Advantech reserves all rights in Sample Source Code not specifically granted hereunder.
Except for Cognex's rights in the Cognex Software and any Sample Source Code therewith, as stated in this Agreement, Licensee shall have all right, title and interest in all Derivative Sample Source Code (as defined below) created by Licensee for its permitted applications under this Agreement.
Licensee shall not remove or obscure any copyright, patent, trademark, confidentiality, restricted or limited rights, export restriction or similar notice affixed to Sample Source Code or Documentation.
Any portion of Sample Source Code or Driver which constitutes Open Source Software or Third Party Software is licensed to Licensee subject to the license terms and conditions of such Open Source Software or Third Party Software, whether in the form of a separate agreement, shrink wrap license or electronic license terms accepted at the time of download.
