No later than sixty (60) days prior to each Scheduled Commitment Expiry Date, an annual agreed upon procedures report prepared by a nationally recognized independent certified public accounting firm using criteria agreed upon between the Facility Agent and the Servicer, and which report shall otherwise be acceptable to the Facility Agent.
From time to time, the Borrower may request the extension of any Committed Lender’s Scheduled Commitment Expiry Date for an additional period of time of up to three hundred and sixty-four (364) days by providing the related Group Agent with a written request for such extension no fewer than forty-five (45) days but no more than sixty (60) days prior to such Committed Lender’s Scheduled Commitment Expiry Date then in effect.
Any such extension shall be effective on the Scheduled Commitment Expiry Date then in effect and shall be conditioned upon the satisfaction in full of the Renewal Conditions.
