You acknowledge that, except as expressly provided in this Agreement and the Consulting Agreement, you will not receive any additional compensation, severance, commissions, bonuses or benefits after the Separation Date.
For avoidance of doubt, if you satisfy the Severance Preconditions, then the Equity Awards remain and will continue to remain outstanding and the unvested shares subject to the Equity Awards will continue to be eligible to vest following the Separation Date during the Consulting Period (as defined in the Consulting Agreement), in accordance with the vesting schedules applicable to such Equity Awards and subject to your Continuous Service during such periods.
If you are currently participating in the Company’s group health insurance plans, including medical, dental, and/or vision plans, your participation as an employee will end on last day of the month in which the Separation Date occurred.
The Company will continue to retain you in a consulting role pursuant to the Consulting Agreement attached as Exhibit A (the “Consulting Agreement”), which shall be deemed effective as of the Separation Date.
Between the date of this Agreement and your Separation Date, you will be expected to perform your regular job duties and such other duties as may be assigned to you by the Company’s Board of Directors (the “Board”).
