Servicing Date. With respect to each Owned Mortgage Loan, the Closing Date, as defined in the Master Mortgage Loan Purchase Agreement and (ii) with respect to each Purchased Mortgage Loan, the Reconstitution Date as defined in the Agreement, dated as of September 15, 2005, between the Servicer and the Owner.

Servicing Date. Mortgage Loans Funded up to the last business day prior to and including the tenth (10th) calendar day of the month will have an effective transfer of servicing date as of the first (1st) day of the first (1st) month following purchase. Mortgage Loans either Funded after the tenth (10th) calendar day of the month or Mortgage Loans Closed and Funded in the same month will have an effective transfer of servicing date as the first (1st) day of the second (2nd) month following the month in which the Mortgage Loan is Funded.

Servicing Date means, with respect to any Mortgage Loan, the date on which the Mortgage Loan was originated pursuant to the Origination Agreement, or such other date as to which the parties may agree. Servicing File With respect to each Mortgage Loan, the file retained by the Subservicer consisting of copies of any document contained in the Collateral File, the originals of which have been or shall be delivered to the Custodian pursuant to the Custodial Agreement.

  • Except as otherwise provided herein, all representations, warranties, covenants, indemnities and other agreements of the parties to this Agreement set forth herein or in any exhibit, schedule or other document or certificate delivered or to be delivered pursuant hereto shall survive each applicable Servicing Date regarding the Mortgage Loans the subservicing of which is transferred on those dates.
