  • Should a corporate entity of HSBC be offered by SoftGen directly or indirectly terms for supply, software maintenance and or technical assistance or development consulting Operating Programs, Further Operating Programs, Customised Software Developments for Further Customised Software Developments either qualitatively or quantitatively more advantageous than those contained herein, then at HSBC's request and without contest those terms will be included within this Agreement.

  • Customer will initiate Future Software Developments by delivering a draft set of user requirements to Savi▇▇▇ ▇▇▇ailing the general functionality required of the Future Software Developments and any other general requirements to be met.

  • All SoftGen responsibility including updates, rectification and Technical Assistance for those Operating Programs, Further Operating Programs, Customised Software Developments and Further Customised Software Developments for which Software Maintenance is cancelled by HSBC will end.

  • Customer agrees to provide facilities for Savi▇▇▇, ▇▇e equipment, Billing System and the Future Software Developments, at no charge, and Customer will ensure that Savi▇▇▇ ▇▇▇ sufficient access to such equipment, Billing System and Future Software Developments, so long as the security requirements of Customer are met.

  • Subject to any then effective statement of work or agreement, work to be performed by Savi▇▇▇ ▇▇ Future Software Developments shall be charged to Customer based on Savi▇▇▇'▇ ▇▇▇rly rates which are from time to time in effect, plus reimbursement for materials and other related expenses incurred by Savi▇▇▇ ▇▇ performing such work.

  • For orders of Further Operating Programs or Further Customised Software Developments which are designated "HSBC Installed" as above, demonstration of working order and Software Acceptance shall not apply and HSBC shall submit payment to SoftGen 30 days after receipt of invoices by HSBC.

  • Customised Software Developments ordered by HSBC for a particular location have been delivered as ordered SoftGen will receive in writing from an authorized officer of HSBC formal acknowledgment that the softwares delivered have been demonstrated to HSBC to be in full working order in accordance with Schedule 5 or otherwise in accordance with the conditions specified in the order ("Software Acceptance").

  • Employee Developments means any idea, discovery, invention, design, method, technique, improvement, enhancement, development, computer program, machine, algorithm or other work or authorship that (i) relates to the business or operations of the Company or any of its subsidiaries or affiliates, or (ii) results from or is suggested by any undertaking assigned to the Employee or work performed by the Employee for or on behalf of the Company or any of its subsidiaries or affiliates, whether created alone or with others, during or after working hours. All Confidential Information and all Employee Developments shall remain the sole property of the Company or any of its subsidiaries or affiliates. The Employee shall acquire no proprietary interest in any Confidential Information or Employee Developments developed or acquired during the Term. To the extent the Employee may, by operation of law or otherwise, acquire any right, title or interest in or to any Confidential Information or Employee Development, the Employee hereby assigns to the Company all such proprietary rights. The Employee shall, both during and after the Term, upon the Company’s request, promptly execute and deliver to the Company all such assignments, certificates and instruments, and shall promptly perform such other acts, as the Company may from time to time in its discretion deem necessary or desirable to evidence, establish, maintain, perfect, enforce or defend the Company’s rights in Confidential Information and Employee Developments.

  • Business Software means all Software owned by or developed by a Seller for or in connection with the Business.

  • Technology means all the software, prototypes, devices, drawings, specifications, lab notebooks, manuals, databases, equipment, files, technical memoranda, invention disclosures, patent application files, research studies, testing data, plans, files, formulas, computer programs, data and information, quality control records and procedures, research and development files containing, embodying or revealing the trade secrets, confidential information, and know-how that constitute Intellectual Property.

  • SAP Technology Solution(s) means SAP NetWeaver Foundation for Third Party Applications, SAP Business Technology Platform (excluding when used solely as a Connectivity App between an SAP Application and ERP), SAP Signavio Solutions and SAP Process Insights (including any renamed, prior and/or successor versions of any of the foregoing made generally available by SAP, if any but excluding when any of the foregoing are used as a User Interface for ERP).

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.
