Source Code Escrow definition
Source Code Escrow means the escrow established with the Source Code Escrow Agent under the terms of the Source Code Escrow Agreement under which Source Code shall be confidentially deposited by a Source Code Owner for safekeeping and, upon the satisfaction of certain conditions, release to the Company.
Source Code Escrow. The parties shall establish an escrow of the source code to the Licensed Materials and any other software required for Be Free to perform its obligations under this Agreement ("Source Code"), by entering into an escrow agreement with Data Securities International, Inc. ("DSI") and depositing the Source Code with DSI. Notwithstanding any other term of the escrow agreement: (a) Be Free shall be obligated to promptly deposit into escrow any update of the Source Code and (b) the deposited Source Code shall be released to GeoCities only if Be Free files for or becomes subject to a proceeding under Chapter 7 of the United States Bankruptcy Code."
Source Code Escrow means the deposit by Extricity of the Source Code of the Extricity Products (including such development documentation such as functional and design specifications and systems manuals as all of the above may exist) in an escrow account set up through a third party escrow agent in the normal course of their business.

Company shall keep the Source Code of the Required Models confidential pursuant to the confidentiality obligations of the Source Code Escrow Agreement.

The Source Code Escrow Agent shall release the Source Code of the Required Models to Company upon receipt of a signed statement by a representative of Company that reads substantially as follows: The undersigned hereby certifies that (i) I am duly authorized to execute this document on behalf of Hawaiian Electric Company, Inc.

Source Code Escrow. PACKAGE has the meaning given to such term in Paragraph 2.3(a) of this Agreement.
Source Code Escrow. Section 4 of Addendum B is replaced in its entirety to read as follows: Supplier has entered into a Software Source Code Escrow Agreement dated as of July 31, 1996 (the "Escrow Agreement") with Filesafe, Inc. (dba "Sourcefile") as escrow agent, pursuant to which Supplier has deposited with Sourcefile a copy of the source code for the version of the Software which it is providing to Intel (the "Source Code Deposit"), and under which Sourcefile is authorized to release a copy of the Source Code Deposit to certain licensees enrolled as "Beneficiaries" upon the occurrence of certain events described in Section 5 of the Escrow Agreement. Within 30 days of the Effective Date, Supplier will deliver to Sourcefile a Beneficiary Enrollment Form naming Intel as a "Beneficiary" pursuant to Section 3 of the Escrow Agreement. Upon a release of the Source Code Deposit to Intel pursuant to the terms of the Escrow Agreement, in addition to the license described in Section 3 of the Agreement, Intel will have a nonexclusive, nontransferable license to modify the Software to the extent necessary to maintain the same as provided in Addendum B, and such modifications will be considered "Software" for purposes of this Agreement, including without limitation all of the restrictions on the use of the Software hereunder. Intel acknowledges that the Source Code Deposit constitutes extremely valuable confidential information of Supplier. Accordingly, Intel agrees to take all commercially reasonable steps to maintain the source code in confidence and agrees that access will only be given to employees of Intel with a need to know and who have agreed to maintain the Source Code Deposit in confidence. Intel may not use the source code to the Software to develop any derivative works of the Software or any other programs competitive to the Software. Source Code Escrow. With respect to source code for the Software defined in Section 17.13 below, the parties agree as follows:
(a) For the purposes of this Section 17.13, "Software" means that software which is part of the standard commercial Health Hero(R) iCare Desktop(TM) reference platform which is made available generally to HEALTH HERO'S customers including any customizations thereto that have been specifically developed by HEALTH HERO for AMAC, [*], any source programs, library modules and other libraries needed to compile and/or assemble such source code into usable, executable files, but excluding any: (i) third party software that has not been developed by or on behalf of HEALTH HERO ("Third Party Software"), and (ii) software that has been developed by or on behalf of HEALTH HERO specifically for a third party customer or licensee. Such identification will also indicate availability (commercial, private third party or through HEALTH HERO) of such Third Party Software. In the event that such Third Party Software is not commercially available to AMAC, HEALTH HERO will use reasonable good faith efforts to assist AMAC in acquiring such Third Party Software, or a license to such Third Party Software.
