Specified Intellectual Property definition
Specified Intellectual Property means any Intellectual Property of one or more Grantors (i) the book value of which exceeds $5,000,000 individually or in the aggregate, (ii) which generates annual revenue, royalties or license fees of greater than $5,000,000 or (iii) which, in the commercially reasonable judgment of the Grantors, is material to the conduct of all or a material portion of the business of WIL-Ireland and its Restricted Subsidiaries.
Specified Intellectual Property means the intellectual property existing in the Miramar software platform (or any trademarked successor thereto) and related modules.
Specified Intellectual Property means the Intellectual Property and data listed in any Contribution Agreement as being Specified Intellectual Property.

More Definitions of Specified Intellectual Property
Specified Intellectual Property means any Intellectual Property to be licensed through an Exclusive License or sold by Holdings, the Borrower or its Subsidiaries on arm’s length terms to a non-affiliated pharmaceutical or life science company, or a joint venture or similar arrangement with such a company.
Specified Intellectual Property means assets of the type described in clauses (i) through (iii) of the definition of “Intellectual Property Collateral” set forth in the Security Agreement (whether or not constituting Collateral).
Specified Intellectual Property means (i) any AAdvantage Intellectual Property (A) listed in any Contribution Agreement entered into on the Closing Date as being Specified Intellectual Property, or (B) consisting of trademarks developed or acquired after the Closing Date, in each case, which cannot be transferred or contributed due to applicable law or regulation in any applicable jurisdictions, applicable privacy policy restrictions, domain registrar restrictions or existing contractual restrictions; or (ii) Composite Marks that must, by determination of an applicable trademark office for a particular country, be owned by an entity that otherwise owns the related Contributed Property.
Specified Intellectual Property means the registered Intellectual Property (if any) specified in Schedule 7 or in the Schedule to any Deed of Accession.
Specified Intellectual Property means Customer Data, the right to use the “Sands” name and the right to use the “Madison House” name.
Specified Intellectual Property has the meaning provided in the Security Agreement.
