Statement Delivery Date definition

Statement Delivery Date means the later of (i) sixty (60) days after the Closing Date and (ii) thirty (30) days after Buyer and its Representatives are permitted access for two (2) days to Distributor’s facilities as necessary for Buyer and its Representatives to conduct an inventory count in accordance with the terms of the Distribution Agreement.
Statement Delivery Date has the meaning ascribed thereto in Section 3.3(a).
Statement Delivery Date has the meaning set forth in Section 1.7(b).

  • Regardless of whether an investment of Curative Equity is made prior to the applicable Financial Statement Delivery Date, any amount of Curative Equity that is in excess of the amount sufficient to cause Borrowers to be in compliance with all of the Specified Financial Covenants as at such date shall not constitute Curative Equity.
