However, the revised statement requires all shared-based payments to employees, including grants of employee stock options, to be recognized as an expense in the Consolidated Statements of Operations based on their fair values as they are earned by the employees under the vesting terms.
Attached hereto as Schedule 5.9 are copies of the following financial statements of COMPANY (the "COMPANY Financial Statements"): COMPANY's audited Balance Sheets as of December 31, 1996 and September 30, 1997, and Statements of Operations, Shareholders' Equity and Cash Flows for the years ended December 31, 1995 and December 31, 1996 and for the nine month period ended September 30, 1997.
