The performance of the Target Contracts by the Target Companies will not result in any violation of or failure to comply with any Legal Requirement.
No existing use of any of the Target Properties constitutes, and to Target's knowledge no person has asserted, or is threatening to assert, that any existing use of any of the Target Properties constitutes, a conflict with any exclusive rights granted to any person under any of the Target Contracts providing for payments in excess of $10,000 annually.
