Target Incentive Amount definition

Target Incentive Amount means, for each Participant, the product of (i) the Participant’s Base Salary times (ii) the Participant’s Target Incentive Factor.
Target Incentive Amount is a value determined by multiplying (i) Executive’s annualized total gross base salary for a calendar year by (ii) the incentive target percentage applicable to Executive under the Annual Performance Plan for the same calendar year.
Target Incentive Amount means, for each Participant, the product of ----------------------- (a) the Participant's Base Salary times (b) the Participant's Target Incentive Factor.

Examples of Target Incentive Amount in a sentence

  • Up to and including 200% of the Target Incentive Amount, as adjusted pursuant to Sections 4 and 6 of this Agreement, will be settled in cash only.

  • In accordance with this Agreement and the Occidental Petroleum Corporation 2005 Long-Term Incentive Plan, as the same may be amended from time to time (the “Plan”), Occidental grants to the Grantee as of the Date of Grant, the right to receive in cash up to 200% of the Target Incentive Amount.

  • If the Grantee terminates employment voluntarily or is terminated for cause before the end of the Performance Period, then the Target Incentive Amount is reduced to zero.

  • Notwithstanding any other provision of this Agreement to the contrary, in its sole discretion, the Committee may reduce your Target Incentive Amount for a Performance Period and reduce the amount of the award payable under this Agreement.

  • However, if, prior to the end of the Performance Period, the Grantee dies or becomes permanently disabled while in the employ of the Company, retires with the consent of the Company, or terminates employment for the convenience of the Company (each of the foregoing, a “Forfeiture Event”), then the Target Incentive Amount upon which the Grantee's award is based will be reduced on a pro rata basis based upon the number of days remaining in the Performance Period following the date of the Forfeiture Event.

  • In accordance with this Agreement and the Occidental Petroleum Corporation 2005 Long-Term Incentive Plan, as the same may be amended from time to time (the "Plan"), Occidental grants to the Grantee as of the Date of Grant, the right to receive in cash up to 200% of the Target Incentive Amount.

  • The Target Incentive Amount for the Executive with respect to any calculation of bonus shall be at least 75% of his base salary as of the end of the fiscal period of the Corporation for which the bonus is calculated.

  • In accordance with this Agreement and the Occidental Petroleum Corporation 2005 Long-Term Incentive Plan, as the same may be amended from time to time (the “Plan”), Occidental grants to the Grantee as of the Date of Grant, the right to receive in Cash up to 200% of the Target Incentive Amount.

More Definitions of Target Incentive Amount

Target Incentive Amount means the amount assigned per Participant by the Chief Executive Officer and approved by the Committee at inception of an applicable Plan Cycle.

Related to Target Incentive Amount

  • Target Bonus Amount means Executive’s target annual bonus amount in effect at the time of Executive’s Qualifying Termination (disregarding any decrease in such target annual bonus amount that constitutes a Good Reason event).

  • Bonus Amount means the greater of (i) the average annual incentive bonus earned by Executive from the Company (or its affiliates) during the last three (3) completed fiscal years of the Company immediately preceding Executive’s Date of Termination (annualized in the event Executive was not employed by the Company (or its affiliates) for the whole of any such fiscal year), and (ii) the Executive’s target annual incentive bonus for the year in which the Date of Termination occurs.

  • Target Bonus Percentage means, with respect to any Executive, the target bonus percentage specified for such Executive in his or her Employment Agreement.

  • Target Bonus means Executive’s annual (or annualized, as applicable) target bonus in effect immediately prior to Executive’s Qualifying Termination or, if Executive’s Qualifying Termination occurs during the Change in Control Period and the amount is greater, Executive’s annual (or annualized, if applicable) target bonus in effect immediately prior to the Change in Control.

  • Performance Year means the calendar year prior to the year in which an Annual Award is made by the Committee.
