Target Number of Performance Units definition

Target Number of Performance Units means the number of Performance Units with respect to the number of Shares reflected in this Agreement that you could receive if 100% of the Performance Target is achieved for the Performance Period. The Target Number of Performance Units is set forth on the cover page of this Amended Award Agreement.
Target Number of Performance Units means the number of Performance Units with respect to the number of Shares reflected in this Agreement that you could receive if the Initial Performance Target is achieved for the Initial Performance Period. The Target Number of Performance Units is set forth on the cover page of this Award Agreement.
Target Number of Performance Units is the number set forth at the beginning of this Agreement; and • Dividend Units is defined in Section 8 of the Agreement.

Examples of Target Number of Performance Units in a sentence

  • The Target Number of Performance Units represent the number of Performance Units that would vest if the Participant satisfies the service vesting conditions set forth in the Vesting and Issuance Criteria and the Company achieves exactly 100% of the Company’s target performance goal specified in the Vesting and Issuance Criteria.

  • After the expiration of the Performance Period, the Target Number of Performance Units and the relevant accrued number of Dividend Equivalents shall be collectively adjusted based on the Achievement Percentage and rounded to six decimal places.

  • The Committee, in its sole discretion, may make such payment of the Target Number of Performance Units Awarded in the form of cash or in Shares (or in a combination thereof).

  • If the Target Performance Goal has been achieved for the Performance Period, then the Target Number of Performance Units for the Performance Period, as set forth above, shall become vested Performance Units for the Performance Period.

  • Subject to the Payout Cap (as defined below), for each percentage that the Company’s CAGR exceeds the CAGR of the Index, an additional 4% of the Target Number of Performance Units are eligible to vest.

  • The maximum number of Performance Units that may vest is 175% of the Target Number of Performance Units set forth in the Notice of Grant.

  • For every percentage that the Company’s CAGR is below the CAGR of the Index, 4% of the Target Number of Performance Units are not eligible to vest.

  • Notwithstanding the foregoing, if the Company’s CAGR is a negative number, then no more than 100% of the Target Number of Performance Units will be eligible to vest (the “Payout Cap”).

  • For example, if the Performance Achieved is %, the number of Earned Performance Units (expressed as a percentage of the Target Number of Performance Units) will be % of the Target Number of Performance Units.

  • Notwithstanding the foregoing, if Participant’s Performance Units are assumed or substituted in connection with a Change in Control, the Target Number of Performance Units will become immediately 100% vested in the event of a termination without Cause within twelve (12) months following the Change in Control.


More Definitions of Target Number of Performance Units

Target Number of Performance Units means the aggregate number of Performance Units awarded hereunder, as set forth in Section 1 hereof (as such number may be adjusted in accordance with Section 10 hereof).

Related to Target Number of Performance Units

  • Target Award means the target award, at 100% of target level performance achievement, payable under the Plan to a Participant for the Performance Period, as determined by the Committee in accordance with Section 3(b).

  • Cash Performance Award means an Award that is denominated by a cash amount to an Eligible Person under Section 10 hereof and payable based on or conditioned upon the attainment of pre-established business and/or individual Performance Goals over a specified performance period.

  • Performance Ratio (PR) means the ratio of plant output versus installed plant capacity at any instance with respect to the radiation measured. PR= (Measured output in kW / Installed Plant capacity in kW * (1000 W/m2/Measured radiation intensity in W/m2).

  • Qualifying Performance Criteria means any one or more of the following performance criteria, either individually, alternatively or in any combination, applied to either the Company as a whole or to a business unit, Parent, Subsidiary or business segment, either individually, alternatively or in any combination, and measured either annually or cumulatively over a period of years, on an absolute basis or relative to a pre-established target, to previous years’ results or to a designated comparison group, and on a pre-tax or after-tax basis, in each case as specified by the Committee in the Award: (i) cash flow (including operating cash flow or free cash flow); (ii) earnings (including gross margin, earnings before interest and taxes, earnings before taxes, and net earnings); (iii) earnings per share; (iv) growth in earnings or earnings per share; (v) stock price; (vi) return on equity or average stockholders’ equity; (vii) total stockholder return; (viii) return on capital; (ix) return on assets or net assets; (x) return on investment; (xi) revenue; (xii) income or net income; (xiii) operating income or net operating income; (xiv) operating profit or net operating profit; (xv) operating margin; (xvi) return on operating revenue; (xvii) market share; (xviii) contract awards or backlog; (xix) overhead or other expense reduction; (xx) growth in stockholder value relative to the moving average of the S&P 500 Index or a peer group index; (xxi) credit rating; (xxii) strategic plan development and implementation (including individual performance objectives that relate to achievement of the Company’s or any business unit’s strategic plan); (xxiii) improvement in workforce diversity; (xxiv) expenses; (xxv) economic value added; (xxvi) product quality; (xxvii) number of customers; (xxviii) objective customer indicators; (xxix) customer satisfaction; (xxx) new product invention or innovation; (xxxi) profit after taxes; (xxxii) pre-tax profit; (xxxiii) working capital; (xxxiv) sales; (xxxv) advancement of the Company’s product pipeline; (xxxvi) consummation of strategic transactions; (xxxvii) reduction in cash utilization; and (xxxviii) addition of technologies and products. The Committee may appropriately adjust any evaluation of performance under a Qualifying Performance Criteria to exclude any of the following events that occurs during a performance period: (A) asset write-downs; (B) litigation or claim judgments or settlements; (C) the effect of changes in tax law, accounting principles or other such laws or provisions affecting reported results; (D) accruals for reorganization and restructuring programs; and (E) any gains or losses classified as extraordinary or as discontinued operations in the Company’s financial statements.

  • rTSR means the percentile rank of the Company’s Total Shareholder Return among the Total Shareholder Returns of all members of the Peer Group, ranked in descending order, at the end of the Performance Period.
