NDC will use the services, products and software licensed or acquired under the Third Party Agreements, together with the Shared Software (as that term is defined below) and the computer hardware and other devices owned by it to operate the Tandem System, the Telecom System and the Ancillary Systems and to provide and deliver the Tandem Services and the Telecom Contract Carrier Services to Recipient under the terms of this Agreement.
Buyer will continue to maintain and use the name “Burlington Telecom” in connection with its operation of the Telecom System.
All employees of the Telecom System classified as exempt under the Fair Labor Standards Act and state and local wage and hour laws are properly classified in all material respects.
Blue Water has consented to the sale of the Telecom System to Buyer; and WHEREAS, the City and Blue Water desire to sell the Telecom System to Buyer and Buyer desires to purchase the Telecom System, subject to the terms and conditions set forth in the Agreement.
The City is duly licensed or qualified to do business and is in good standing in each jurisdiction in which the ownership of the Purchased Assets or the operation of the Telecom System as currently conducted makes such licensing or qualification necessary.
In the unlikely event that Schurz or Buyer elects to sell either the assets of the Telecom System or a controlling interest in Buyer, the Buyer and/or Schurz will provide a confidential 20-day notice to the City (“Sales Notice”), which Sales Notice will contain a valuation range for the target sales price of the proposed transaction and an invitation to the City or its elected local investors to participate in that process.
The Purchased Assets are sufficient for the continued conduct of the Telecom System after the Closing in substantially the same manner as conducted prior to the Closing and (except for the CPGs to be applied for and acquired by Buyer) constitute all of the rights, property and assets necessary to conduct the Telecom System as currently conducted.
To City’s Knowledge: (i) the conduct of the Telecom System as currently conducted does not infringe, misappropriate, dilute or otherwise violate the Intellectual Property of any Person; and (ii) no Person is infringing, misappropriating or otherwise violating any Intellectual Property Assets.
The Telecom System does not have nexus with any state other than Vermont which would allow such state to impose its taxing jurisdiction on it.
The Parties will plan for future capacity needs, both with respect to the Tandem System and the Telecom System, as set forth in Addendum VII--Capacity Planning.
