Terminated Asset definition

Terminated Asset means, with respect to a Target that is terminated by either Party under ARTICLE 11, each Compound and Licensed Product directed to such Terminated Target.
Terminated Asset means, on a Target-by-Target basis, with respect to a Collaboration Program that is terminated by [***] under Clause 14 each Licensed Compound, Development Candidate and Licensed Product, as applicable, directed to the Terminated Target that is the subject of such Collaboration Program;
Terminated Asset is defined in Section 13.5.2.2(c)(i) (Data Package Request).

  • In the event XENCOR does not take Control of such Terminated Asset Material, then Licensee shall be permitted to sell any inventory within such Terminated Asset Material, provided that such sales occur within [***] after the effective date of termination and, provided further that Licensee shall remain obligated to pay royalties and report to XENCOR with respect to Net Sales of such inventory in accordance with Article 9.

Terminated Asset means, on a Collaboration Program-by-Collaboration Program basis, with respect to a Collaboration Program that is terminated by either Party under ARTICLE 14 following Genentech’s delivery of a Dev Go Notice, each Compound, Discovery Construct, Development Candidate and Licensed Product directed to the Terminated Target that is the subject of such Collaboration Program.

Related to Terminated Asset

  • Terminated Transaction means the Transaction terminated in accordance with Section 5.2 of this Agreement.

  • Special Servicer Termination Event shall have the meaning given to such term in the Lead Securitization Servicing Agreement.
