Termination Due to Change in Control definition

Termination Due to Change in Control means a Termination for Good Reason or a Termination Without Cause that occurs during the 30-day period preceding or the two-year period commencing upon the occurrence of a Change in Control.
Termination Due to Change in Control with respect to a Grantee means either (i) a termination of such Grantee’s employment by, or provision of service to, the Company within two (2) years following a Change in Control; or (ii) a Termination Due to a Change in Control with respect to such Grantee as defined under either the Company’s Executive Change in Control Severance Benefit Plan, as amended, or the Company’s Change in Control Severance Benefit Plan, as amended, as the case may be.
Termination Due to Change in Control means the termination of a Participant’s Employment by the Company without Cause or by the Participant for Good Reason, in either case within two (2) years following a Change in Control, unless such term is defined in the most recent Agreement applicable to a Participant, in which case the definition in such Agreement shall prevail.

Examples of Termination Due to Change in Control in a sentence

  • Termination Due to Change in Control or Substantial Reduction in Job Duties Following Change in Control.

  • Notwithstanding anything to the contrary herein, Hruby shall have no rights and the Corporation shall have no ▇▇▇▇▇ation under this Subsection 8(d) with respect to a Termination Due to Change in Control if, prior to or simultaneously with such Termination Due to Change in Control, Hruby is offered employment within 50 miles of Albany Oregon ▇▇ ▇▇other business at a level of compensation equal to or greater than his compensation hereunder.

  • Upon a Grantee’s Termination Due to Change in Control (within the meaning of the Company’s Change in Control Severance Benefit Plan applicable to the Grantee), all outstanding Options shall automatically accelerate and become fully exercisable.

  • Notwithstanding anything to the contrary herein, Konatich shall have no rights and the Corporation shall have no obligation under this Section 8 with respect to a Termination Due to Change in Control; if, prior to or simultaneously with such Termination Due to Change in Control, Konatich is offered employment within the Metro New York area by another business as its Chief Financial Officer at a level of compensation equal to or greater than his compensation hereunder (a "Satisfactory Alternative").

  • Notwithstanding anything to the contrary herein, Executive shall have no rights and the Corporation shall have no obligation under this Section 7(d) with respect to a Termination Due to Change in Control if, prior to or simultaneously with such Termination Due to Change in Control, Executive is offered employment within 50 miles of the existing Plexus facility in San Diego, California by another business at a level of compensation equal to or greater than her compensation hereunder.

  • Five - Employment Termination Due to Change in Control, Disability, by Death, or For Reasons Other than for Cause.

Related to Termination Due to Change in Control

  • Termination After Change in Control means either of the following events occurring within twelve (12) months after a Change in Control:

  • Termination Upon a Change in Control means a termination of Officer’s employment with Corporation within 12 months following a “Change in Control” that constitutes a Termination Other Than For Cause described in Section 2.1(b).

  • Change in Control means the occurrence of any of the following events:

  • Change in Control Date means the date on which a Change in Control occurs.

  • 409A Change in Control means a "Change in Control" which also constitutes a change in ownership or effective control of the Company or a change in the ownership of a substantial portion of the assets of the Company, all within the meaning of § 409A.
