The Purchaser intends to create a trust (the “Trust”), the primary assets of which will be a segregated pool of commercial, multifamily and/or manufactured housing community mortgage loans, that includes the Mortgage Loans.
The Purchaser intends to sell the Non-Registered Certificates to Barclays Capital, CGMI, DBSI, SGAS, UBS Securities, Academy and Drexel (collectively, in such capacity, the “Initial Purchasers”) pursuant to a certificate purchase agreement, dated as of the Pricing Date (the “Certificate Purchase Agreement”), among the Purchaser, BCHI and the Initial Purchasers.
