Media Company will measure delivery of Ads through its ad server and Agency will also measure delivery through its Third Party Ad Server.
Media Company will track Campaign delivery through its own ad server and Agency will also measure delivery through its own Third Party Ad Server as has been confirmed to Media Company in advance of the Campaign.
After such 24 hour period, neither Agency nor Advertiser will be charged fees for any Ads that run until the earlier of: (i) expiry of 72-hours; or (ii) Media Company is notified that the Third Party Ad Server is working and able to serve Ads.
The IO confirms the key commercial details of the Campaign, including costs payable to Media Company and, where applicable: the type(s) and amount(s) of Deliverables; their price; the maximum amount of money to be spent pursuant to the IO; Campaign start and end dates; details of and contact information for any Third Party Ad Server; reporting requirements; special delivery scheduling and / or placement requirements; and specifications concerning ownership of data collected.
After a 72-hour period, even if the Agency’s Third Party Ad Server is still not serving Ads, Agency (on behalf of Advertiser) will be charged for all Ads that would or should have run (or which are run) and can require Media Company to serve the Ads, which Media Company agrees to do until such time as the Third Party Ad Server is able to serve Ads or for the remainder of the Campaign (at Agency’s discretion).
Upon notification that the Third Party Ad Server is functioning, Media Company will have 72 hours to resume delivery.
If Agency does not use a Third Party Ad Server, Media Company may bonus as many ad units as Media Company chooses (unless otherwise indicated on the IO) but will not charge Agency / Advertiser for additional Deliverables above levels guaranteed on the IO.
If Agency uses a Third Party Ad Server, Media Company will not bonus more than 10% above the Deliverables specified on the IO without Agency’s prior written consent.
Permanent or exclusive placements will run for the specified period of time regardless of over-delivery, unless the IO confirms an impression cap for Third Party Ad Server activity.
If Agency is using a Third Party Ad Server to serve the Campaign, and that Third Party Ad Server fails to serve the Ads, Agency will have a one-time right to temporarily suspend Campaign delivery.
