Third Party Embedded Software definition

Third Party Embedded Software means computer software that is not Owned by the City, Project Co or a Subcontractor and that is included, embedded or otherwise incorporated into the Infrastructure.
Third Party Embedded Software means Software owned by a third party and incorporated into the Transferred Products, including the Software set forth in Schedule 3.8(b)(i) and Schedule 3.8(b)(ii) of the Seller Disclosure Schedule.
Third Party Embedded Software means Software owned by a third party and incorporated into the Mediasite Software.

  • Section 5.4(b) of the Company Disclosure Schedule sets forth a complete and accurate list of all consents or waivers required to be obtained under the agreements referred to in Section 5.5(a)(i) or agreements for Third Party Embedded Software (other than software subject to open source or similar type license agreements).

  • Schedule 5.9(g)(ii) provides a complete and accurate list, in all material respects, of the Third Party Embedded Software licensed as freeware or under an Open Source License.

  • Notwithstanding other statements in this Section 2, third party software components, including free, copyleft and open source software components, if any, embedded in Software (“Third Party Embedded Software”) are distributed in compliance with the particular licensing terms and conditions attributable to such Third Party Embedded Software.

  • To the Knowledge of the Seller, Schedule 3.8(d)(ii) of the Seller Disclosure Schedule provides a complete and accurate list of the Third Party Embedded Software licensed as freeware or under an Open Source License.

  • Copyright notices and licensing terms and conditions applicable to Third- Party Embedded Software are available for review with the Software Documentation at ▇▇▇▇▇://▇▇▇▇▇▇▇▇▇.▇▇▇▇▇▇.▇▇▇/ or may be included on the media on which Customer receives the Software, within a “NOTICE” file (e.g., NOTICE.PDF or NOTICE.TXT) or included within the downloaded files, and/or reproduced within the materials or Documentation accompanying the Software.

  • Except as disclosed in Schedule 3.8(b)(iii) of the Seller Disclosure Schedule, none of the Sellers nor any of their Affiliates, nor the Acquired Company, is in material breach of or material default under, or has provided or received any written notice of breach or default under or any intention to terminate, any agreement pursuant to which the Third Party Embedded Software is in­licensed.

  • Except as disclosed in Schedule 3.8(b)(iii) of the Seller Disclosure Schedule, none of the Sellers nor any of their Affiliates, nor the Acquired Company, is in material breach of or material default under, or has provided or received any written notice of breach or default under or any intention to terminate, any agreement pursuant to which the Third Party Embedded Software is in-licensed.

More Definitions of Third Party Embedded Software

Third Party Embedded Software has the meaning given in Section 1.1 [Definitions] of Schedule 8 [Intellectual Property].
Third Party Embedded Software has the meaning set forth in Section 3.13(c).
Third Party Embedded Software means all third-party Software incorporated or embedded in, or otherwise distributed with or needed by customers to operate or utilize Products or Services or other proprietary Software of the Business.

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.

  • Supplier Software means software which is proprietary to the Supplier and software which is or will be used by the Supplier for the purposes of providing the Placement Services;

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).
