Tranche 2 Commitments definition

Tranche 2 Commitments means with respect to each Lender, the commitment of such Lender to make a Loan pursuant to Section 2.01(b), as such commitment may be reduced from time to time pursuant to the terms hereof. The initial amount of each Lender’s Tranche 2 Commitment as of the Effective Date is set forth on Schedule 2.01, or in the Assignment and Assumption pursuant to which such Lender shall have assumed its Tranche 2 Commitment, as applicable. The initial aggregate amount of the Lenders’ Tranche 2 Commitments as of the Effective Date is $1.0 billion.
Tranche 2 Commitments means the Bank’s commitments to make Tranche 2 Term Loan hereunder, in an initial aggregate amount of $50,396,703.95.
Tranche 2 Commitments means the Tranche 2 Initial Commitments and the Tranche 2 Delayed Draw Commitments.

  • The Administrative Agent will promptly notify the Lenders of any such notice of termination or reduction of the Aggregate Tranche 2 Commitments.

  • The Agent shall give prompt notice to each Tranche 2 Bank of any such termination of Tranche 2 Commitments.

  • Upon request by the Administrative Agent from time to time, the Canadian Facility Agent shall deliver a copy of the Register in respect of Tranche 2 Lenders and Tranche 2 Commitments to the Administrative Agent.

Tranche 2 Commitments means: (a) in relation to an Original Lender, the amount set opposite its name under the heading “Tranche 2 Commitment” in Part 2 of Schedule 1 (The Original Parties) and the amount of any other Commitment transferred to it under this Agreement; and (b) in relation to any other Lender, the amount of any Tranche 2 Commitment transferred to it under this Agreement, to the extent not cancelled, reduced or transferred by it under this Agreement. “Transaction Document” means: (a) a Finance Document; (b) a Project Document; or (c) any document agreed to be a Transaction Document by the Borrower and the Agent, and “Transaction Documents” means all of them. “Transaction Security” means the Security created or expressed to be created in favour of, or held for the benefit of, the Security Trustee pursuant to the Transaction Security Documents. “Transaction Security Documents” means: (a) each Initial Security Document; (b) the SPCF Sublease Mortgage; and (c) any document which provides for a guarantee or indemnity or Security in favour of, or for the benefit of, the Security Trustee in respect of all or any part of the obligations of the Obligors (with or without securing the obligations of other Obligors) under the Transaction Documents. “Transfer Certificate” means a certificate substantially in the form set out in Schedule 4 (Form of Transfer Certificate) or any other form agreed between the Agent and the Borrower. “Transfer Date” means, in relation to an assignment or a transfer, the later of: (a) the proposed Transfer Date specified in the relevant Assignment Agreement or Transfer Certificate; and
