For purposes of this Article V, a Trust Triggering Event that has occurred shall be deemed to be continuing unless the Reinsurer’s RBC Ratio is equal to or exceeds as of the end of at least two (2) consecutive calendar quarters.
In addition, the Reinsurer shall cooperate fully with the Ceding Company and promptly respond to the Ceding Company’s reasonable inquiries from time to time concerning the determination of whether a Trust Triggering Event, Reserve Credit Event or Recapture Triggering Event has occurred or is likely to occur.
In the event that it is determined that a Reinsurance Credit Trust Triggering Event, Adverse Financial Event or RBC Ratio Triggering Event, as applicable, has not occurred, the Company shall rescind any such notice to the Trustee in accordance with the terms of the Trust Agreement.
