Trust Triggering Event definition

Trust Triggering Event means any of the following occurrences:
Trust Triggering Event shall have the meaning specified in Section 12.1(c).
Trust Triggering Event means the Reinsurer’s RBC Ratio falls below as of the end of any calendar quarter and the Reinsurer has not cured such shortfall in its RBC Ratio within forty-five (45) days after the end of such quarter.

Examples of Trust Triggering Event in a sentence

  • For purposes of this Article V, a Trust Triggering Event that has occurred shall be deemed to be continuing unless the Reinsurer’s RBC Ratio is equal to or exceeds as of the end of at least two (2) consecutive calendar quarters.

  • In addition, the Reinsurer shall cooperate fully with the Ceding Company and promptly respond to the Ceding Company’s reasonable inquiries from time to time concerning the determination of whether a Trust Triggering Event, Reserve Credit Event or Recapture Triggering Event has occurred or is likely to occur.

  • In the event that it is determined that a Reinsurance Credit Trust Triggering Event, Adverse Financial Event or RBC Ratio Triggering Event, as applicable, has not occurred, the Company shall rescind any such notice to the Trustee in accordance with the terms of the Trust Agreement.

Related to Trust Triggering Event

  • Subsequent Triggering Event means any of the following events or transactions occurring after the date hereof: (i) The acquisition by any person (other than Grantee or any Grantee Subsidiary) of beneficial ownership of 25% or more of the then outstanding Common Stock; or (ii) The occurrence of the Initial Triggering Event described in clause (i) of subsection (b) of this Section 2, except that the percentage referred to in clause (z) of the second sentence thereof shall be 25%.

  • Company Triggering Event shall be deemed to have occurred if: (a) the Company shall have made a Company Board Adverse Recommendation Change; (b) the Company Board or any committee thereof shall have publicly approved, endorsed or recommended any Acquisition Proposal; or (c) the Company shall have entered into any letter of intent or similar document relating to any Acquisition Proposal in violation of the terms of the Agreement.

  • Initial Triggering Event means any of the following events or transactions occurring after the date hereof:

  • Change of Control Triggering Event means the occurrence of both a Change of Control and a Rating Event.

  • Triggering Event II means the date on which the Common Share Price is greater than $15.50 after the Closing Date, but within the Earn Out Period.
