TSR Performance Percentage definition

TSR Performance Percentage means the percentage set forth in the table below determined in accordance with the percentile ranking of the Total Shareholder Return of the Company compared to the TSR of each entity in the Peer Group achieved during the Performance Period: Ranking of the Company within Peer Group TSR Performance Percentage
TSR Performance Percentage means a percentile calculated based upon the median TSR performance of the Peer Group. To the extent the Company’s TSR equals the median TSR of the Peer Group, the TSR Performance Percentage will be 100%. For every 1% that the Company’s TSR exceeds the median TSR of the Peer Group, the TSR Performance Percentage will increase by 2%. For every 1% that the Company’s TSR is less than the median TSR of the Peer Group, the TSR will decrease by 2%. In the event the Company’s TSR percentage is more than 25 percentage points less than the median TSR of the Peer Group, the TSR Performance Percentage will be deemed to be 0%, and in no event will the TSR Performance Percentage exceed 200%. For purposes of calculating the TSR Performance Percentage, TSR percentages can be negative. By way of example, in the event the median TSR of the Peer Group is 10% and the Company’s TSR is 8%, the TSR Performance Percentage will be 96%. In the event the median TSR of the Peer Group is 10% and the Company’s TSR is 15%, the TSR Performance Percentage will be 110%. If the median TSR of the Peer Group is 15% and the Company’s TSR is -5%, the TSR Performance Percentage will be 60%. Notwithstanding the foregoing, to the extent the Company’s TSR is less than 0%, the TSR Performance Percentage may be no higher than 100%.

Examples of TSR Performance Percentage in a sentence

  • As soon as practicable following the completion of the Performance Period, the Committee shall determine and certify in writing the TSR Performance that has been attained, the TSR Performance Percentage and the number of TSR ▇▇▇▇ that will be eligible to vest based on the TSR Performance Percentage.

  • The number of PBRSUs earned for TSR Performance shall be equal to the product of (i) the TSR Performance Percentage determined under Exhibit A (which may range from 0% to 200%), multiplied by (ii) the Participant’s TSR Target Number.

  • Promptly following the conclusion of the Performance Period, but in no event later than 60 days following the Valuation Date, the Committee shall certify whether and to what extent such performance metrics were achieved and determine each of the Absolute TSR Performance Percentage and the Peer Group Relative TSR Performance Percentage (as defined on Exhibit A attached hereto) and the number of Restricted Stock Units subject to this Award, if any, that shall vest and be earned by the Grantee.

Related to TSR Performance Percentage

  • Performance Percentage means the factor determined pursuant to a Performance Schedule that is to be applied to a Target Award and that reflects actual performance compared to the Performance Target.

  • Payout Percentage means the percentage (between 0% and 200%) determined by the Committee in accordance with the procedures set forth in Paragraph 2, which shall be used to determine the value of each Performance Unit.

  • Achievement Percentage means the percentage of achievement determined by the Committee after the end of the Performance Cycle in accordance with Section 4 that reflects the extent to which the Company achieved the Performance Goals during the Performance Cycle.

  • Vesting Percentage means the percentage by which the Target Total Award is multiplied as set forth in the chart in Section II below.

  • TSR Percentile Rank means the percentile performance of the Company and each of the companies in the Peer Group based on the TSR for such company as determined by the Committee for the Performance Period.
