Turnkey Components definition

Turnkey Components mean components manufactured and supplied by vendors on Mobileye’s approved vendors list, provided by SUPPLIER in accordance with this Agreement and necessary for the manufacturing of the Products.
Turnkey Components means those components purchased by Supplier only in accordance with Sun’s Approved Vendor Listing (“AVL”), as may be amended from time to time by Sun, unless otherwise authorized by Sun. “Sun-Controled Turnkey Components” means those Turnkey Components which Supplier purchases and for which Sun establishes the pricing with the applicable supplier(s).
Turnkey Components means any component or material that Supplier procures from third parties to be used in the assembly of Products on a turnkey basis.

Examples of Turnkey Components in a sentence

  • SUPPLIER agrees to provide Mobileye product warranty to such Turnkey Components only under condition that SUPPLIER can obtained from Component vendor and/or manufacturer and / or third party.

  • Upon such termination, Mobileye shall buy from SUPPLIER Turnkey Components procured until the effect of such termination, only to the extent that such procurements were made in accordance with Orders and forecast (for finished goods) issued by Mobileye, or approved by Mobileye in writing, in advance, and in accordance with this Agreement.

  • Payment by Sun of the cancellation charges agreed to by Sun and Supplier in accordance with this Section 2.10.2. shall constitute Sun’s entire liability for any Supplier loss, expense or damages arising out of Sun’s cancellation of the P.O. “Sun-unique Turnkey Components” means those Turnkey Components which the parties have agreed upon from time to time are used exclusively in Products sold only to Sun.

  • If agreed upon by the parties and set forth in the applicable Statement of Work, Supplier agrees to pass through all warranty protection and rights it receives with regard to its purchase of Turnkey Components to the maximum extent possible under its purchase agreement with each applicable vendor.

  • This information will include without limitation pricing information with respect to the following (if applicable): material cost and material acquisition cost of all Turnkey Components and other materials, assembly labor cost, test labor cost, warranty, profit, freight, duty, warehousing, NREs, tooling and Product prototype builds.

  • Supplier will work actively to achieve cost reductions on all (i) material (except for Sun-Controlled Turnkey Components (defined below) which are exempted from the cost reduction calculations) and (ii) Supplier processing costs (including costs associated with assembly and test).

  • Sun and Supplier shall agree upon an EOQ list for the Sun-unique Turnkey Components or Sun-unique raw materials set forth in a separate written agreement which is hereby incorporated by reference (the “EOQ List”).

  • Supplier shall pass one hundred percent (100%) of the cost reductions in Sun-Controlled Turnkey Components on to Sun as soon as possible after the effective date of such cost reductions, on a forward looking, weighted average basis.

  • Unless otherwise agreed by SPANSION in writing, any Turnkey Components purchased by Supplier not in accordance with this subsection shall be the responsibility of the Supplier; associated costs shall not be passed on to SPANSION.

  • Sun and Supplier shall agree upon an LLTC list and associated leadtimes for the Sun-unique Turnkey Components or Sun-unique raw materials set forth in a separate written agreement which is hereby incorporated by reference (the “LLTC” List”).


More Definitions of Turnkey Components

Turnkey Components refers to the components provided by Supplier, required to build the board assembly to the required configuration, manufactured and supplied by vendors on the Customer’s approved vendor list (“AVL”) and included in the current price of the Product.
Turnkey Components means a Component that Flextronics procures directly from the Component Supplier or the appropriate distributor.

  • Components means articles, materials, and supplies incorporated directly into end products at any level of manufacture, fabrication, or assembly by the Contractor or any subcontractor.

  • Structural components means liners, leachate collection systems, final covers, run-on/run-off systems, and any other component used in the construction and operation of the MSWLF that is necessary for protection of human health and the environment.

  • Third Party Components means software and interfaces, licensed by RIM from a third party for incorporation into a RIM software product, or for incorporation into firmware in the case of RIM hardware products, and distributed as an integral part of that RIM product under a RIM brand, but shall not include Third Party Software.

  • Structural component means a component that supports non-variable forces or weights (dead loads) and variable forces or weights (live loads).

  • MSAA Indicator Technical Specifications document means, as the context requires, either or both of the document entitled “Multi-Sector Service Accountability Agreement (MSAA) 2019-20 Indicator Technical Specifications November 5, 2018 Version 1.3” and the document entitled “Multi-Sector Service Accountability Agreement (MSAA) 2019-20 Target and Corridor-Setting Guidelines” as they may be amended or replaced from time to time;
