Underlying Contracts definition

Underlying Contracts means those contracts for the delivery of construction works and services called-off under the Framework Agreement, being either a Construction Contract or a Pre-Construction Agreement;
Underlying Contracts means the various contracts entered into by a Hutchison Group Company as agent for and on behalf of the Hutchison Operating Companies electing to participate in the relevant contracts with parties independent of the chief executive, directors and substantial shareholders of the Company, its subsidiaries and their respective associates for the acquisition and development of information technology platforms and software solutions and applications, hardware, content and other services in connection with 3G Business.

Examples of Underlying Contracts in a sentence

  • At the termination of the Underlying Contract(s), Business Associate shall return or destroy all PHI received from Covered Entity, or created, received, maintained, or transmitted on behalf of Covered Entity, that Business Associate still maintains in any form and retain no copies of PHI.

  • Notwithstanding any provision to the contrary in the Underlying Contract(s), Covered Entity may terminate its participation in the Underlying Contract(s) immediately upon written notice to Business Associate without liability for such termination, in the event that Covered Entity reasonably determines that Business Associate has violated a material provision of this Agreement.

  • Not use or disclose the PHI other than as permitted or required by this Agreement or the Underlying Contracts or as required by applicable law, rule or regulation, or by accrediting or credentialing organization to whom Covered Entity is required to disclose such information or as otherwise permitted under the Statewide Policy Guidance, or the Privacy and Security Rules.

  • This Agreement shall be in effect for the duration of the Underlying Contract(s).

  • The Parties agree that in the event of any conflict between provisions of the Underlying Contract(s) and this Agreement, the terms of this Agreement will control.

  • Business Associate agrees that any PHI received by it shall be held strictly confidential and shall not be used or disclosed except as specifically provided in this Agreement or as required by the Underlying Contract(s) or law, or as otherwise directed by Covered Entity in a separate writing.

  • In the course of performing its obligations under the Underlying Contract(s), Business Associate may be provided with or have access to PHI.

  • The Covered Entity and Business Associate agree to enter into this Agreement and to comply with the requirements of the HIPAA Rule addressing confidentiality, security, privacy and the use and disclosure of individually identifiable health information created, received, accessed, maintained, or transmitted by the Business Associate on behalf of the Covered Entity, during the performance of the Underlying Contract(s) and after termination of the contracts.

  • This Agreement shall govern Business Associate’s receipt, use, access, maintenance, transmission and creation of PHI under the Underlying Contract(s).

  • This Agreement supplements and/or amends the Underlying Contract(s) as required to comply with the HIPAA Rule.


More Definitions of Underlying Contracts

Underlying Contracts as used in Section 9 of the Lease, shall mean those contracts currently in effect and listed on Exhibit B attached hereto and incorporated herein by this reference, and all replacements and renewals thereof from time to time throughout the term of the Lease.
Underlying Contracts means contracts between the Parties (including without limitation as described on SCHEDULE A hereto) that require, permit or contemplate the Company being provided with, having access to, and/or creating Personal Data, including without limitation PHI subject to HIPAA and HIPAA Regulations.
Underlying Contracts has the meaning given to that term in subsection 3.5(f)(iv)(B).
Underlying Contracts mean the reinsurance contracts that are included in the Subject Business.
Underlying Contracts refer to the Material Sales Contracts between the Pledgor and the Obligor, including the Current LHD Contracts and the Current MD Contracts, with specifics provided under Attachment 1 (Specifics of the Underlying Contracts) to the Agreement, and New Underlying Contracts.
Underlying Contracts means a series of contracts in connection with the Underlying Business entered into by the Transferors and the counterparties of such contracts for the purpose of the operation of the Underlying Business and acknowledged by the Transferors and the Transferee as within the scope of the Underlying Assets, which shall include the contracts entered into offline and/or online by e-signatures as listed in Appendix II and the online user contracts not listed in Appendix II but relate to the Underlying Business. The Appendix II shall be updated before the Second Installment of the Transfer Consideration to include the contracts executed after the execution date of this Agreement which relate to the Underlying Business and which are acknowledged by the Transferors and the Transferee as within the scope of the Underlying Assets and to reflect the updates of the contracts listed in the Appendix since the execution date of this Agreement. For the avoidance of doubt, in any event, the scope of the Underlying Contracts shall be mutually agreed by the Transferors and the Transferee.

Related to Underlying Contracts

  • Existing Contracts means the existing licenses and contracts given by the Railway Administration / Authority, in relation to commercial establishments, as existing on Station Development Land, as on the date of the Agreement, and as further set out in the Schedules, which shall, for avoidance of doubt, exclude any licenses and/ or contracts in relation to any Excluded Activities and/or Railway Operational Activities;

  • Seller Contracts means all contracts or agreements to which Seller is a party or to which any of its material assets are bound.

  • Customer Contracts has the meaning set forth in Section 1.1(b)(ii)(A).

  • Servicing Contract means, with respect to any Person, the arrangement, whether or not in writing, under which that Person has the right to service Mortgage Loans.

  • Specified Contracts has the meaning set forth in Section 4.13(a).
