Undistributed Preferred Return definition

Undistributed Preferred Return means, as to each Member, the aggregate Preferred Return accrued with respect to such Member’s Unreturned Capital Contributions reduced by the aggregate distributions to such Member from the Company pursuant to Sections 3.2(a) and 6.2(a)(i) hereof; and (ii) the term “Preferred Return” shall mean, with respect to each Member, a cumulative return of thirteen and 85/100 percent (13.85%), compounded annually, on such Member’s Unreturned Capital Contributions outstanding from time to time.
Undistributed Preferred Return shall have the meaning ascribed to such term in Section 3.2 hereof.
Undistributed Preferred Return means, with respect to any Class A Limited Member, Series B-1 Limited Member or Series B-2 Limited Member, the aggregate amount of Class A Limited Member Preferred Return, Series B-1 Limited Member Preferred Return, or Series B-2 Limited Member Preferred Return, as applicable, not distributed on a Class A Distribution Date or Class B Distribution Date, as applicable, pursuant to Section 4.1(a) and, with respect to any Class B Limited Member Preferred Return, without regard to whether the distribution of such Class B Limited Member Preferred Return was prohibited pursuant to the proviso set forth in Section 4.1(a)(ii); provided that such amounts shall be included in Undistributed Preferred Return only during the period from the date such distribution was required to be made to the date such distribution is made.

Examples of Undistributed Preferred Return in a sentence

  • Undistributed Preferred Return: as to any Preferred Member at any relevant date, such Preferred Member’s Preferred Return Amount, reduced by cumulative Distributions to such Preferred Member under 6.1[a] as of such date.

  • In the event that, on two consecutive Quarterly Start Dates (or, if such day is not a Business Day, on the first Business Day thereafter), the Managing Member fails to make distributions in an amount at least equal to the lesser of Consolidated Retained Earnings and the Undistributed Preferred Return on such first day, then as of such date, and until such failure is cured, the Preferred Return Rate shall be seven and one-quarter percent (7.25%).

More Definitions of Undistributed Preferred Return

Undistributed Preferred Return with respect to a Partner means an amount equal to the Preferred Return of each Partner accrued to the date the Undistributed Preferred Return is being determined, less all distributions made (or deemed made) to such Partner pursuant to Sections 4.1(a) and (b).
Undistributed Preferred Return means, with respect to any Class A Limited Member, Series B-1 Limited Member or Series B-2 Limited Member, the aggregate amount of Class A Limited Member Preferred Return, Series B-1 Limited Member Preferred Return, or Series B-2 Limited Member Preferred Return, as applicable, not distributed when required pursuant to Section 4.1(a); provided that such amounts shall be included in Undistributed Preferred Return only during the period from the date such distribution was required to be made to the date such distribution is made.

Undistributed Preferred Return means, for each Class A Preferred Share on any given date, the excess of the cumulative accrued Preferred Return with respect to such Share through the day before such date over the cumulative distributions of Preferred Return pursuant to Section 3.3 or Section 3.4 with respect to such Share through such date (or, if such date is not a Business Day, through the next Business Day thereafter). "Voluntary Bankruptcy" shall have the meaning set forth in the definition of "Bankruptcy."

  • Preferred Return has the meaning specified in the Company LLC Agreement.

  • Unadjusted Principal Distribution Amount As defined in the definition of “Principal Distribution Amount.”

  • Current Class B Interest Distribution Amount As to any Distribution Date, the amount distributed in respect of the Classes of Class B Certificates pursuant to Paragraphs fifth, eighth, eleventh, fourteenth, seventeenth and twentieth of Section 4.01(a) on such Distribution Date.

  • Lower Tier Principal Distribution Amount With respect to any calendar month, the sum of (i) the Cash Flow Distribution Amount and (ii) the Lower Tier Accrual Amount, if any.

  • Senior Principal Distribution Amount As to any Distribution Date, the sum of (i) the Senior Percentage of all amounts described in subclauses (a) through (d) of clause (i) of the definition of Non-PO Formula Principal Amount for such Distribution Date, (ii) with respect to any Mortgage Loan that became a Liquidated Mortgage Loan during the calendar month preceding the month of such Distribution Date, the lesser of (x) the Senior Percentage of the applicable Non-PO Percentage of the Stated Principal Balance of such Mortgage Loan and (y) either (A) the Senior Prepayment Percentage of the applicable Non-PO Percentage of the amount of the Liquidation Proceeds allocable to principal received on the Mortgage Loan or (B), if an Excess Loss was sustained with respect to such Liquidated Mortgage Loan during such preceding calendar month, the Senior Percentage of the amount of the Liquidation Proceeds allocable to principal received with respect to such Mortgage Loan, and (iii) the sum of (x) the Senior Prepayment Percentage of the applicable Non-PO Percentage of the amounts described in subclause (f) of clause (i) of the definition of Non-PO Formula Principal Amount for such Distribution Date, and (y) the Senior Prepayment Percentage of any Subsequent Recoveries described in clause (ii) of the definition of Non-PO Formula Principal Amount for such Distribution Date; provided, however, that if a Bankruptcy Loss that is an Excess Loss is sustained with respect to a Mortgage Loan that is not a Liquidated Mortgage Loan, the Senior Principal Distribution Amount will be reduced on the related Distribution Date by the Senior Percentage of the applicable Non-PO Percentage of the principal portion of such Bankruptcy Loss.
