The Recipient agrees that, except as provided in this Agreement, it will not abandon, substantially discontinue use of, lease, sell, transfer ownership of, or dispose of all or a significant part or portion of the Project during the Useful Life of the Project without prior written approval of the Division.
No Lease, Sale, Transfer of Ownership, or Disposal of Project. The Recipient owns or has sufficient property rights in the Project property for the longer of the Useful Life or the term of this Agreement, either in fee simple or for a term of years that is not subject to third-party revocation during the Useful Life of the Project.
The Agreement Term is not less than the Useful Life of the Project, which is not less than twenty (20) years, as required by ▇▇▇▇ ▇▇▇▇, § 72-4A-7, as amended, of the Act.
The Recipient agrees to sufficiently and properly staff, operate and maintain all portions of the System during the Useful Life of the Project in accordance with all applicable state and federal laws, rules, and regulations.
This Agreement shall become effective upon the execution and delivery thereof by the Parties hereto and unless terminated pursuant to other provisions of the Agreement, shall continue to be in force for such time until the completion of a period of 25 years (Twenty-Five years) from the Commercial Operation Date of the Project or balance useful life (Balance Useful Life of the Project shall not be less than one year) of project.
This Agreement shall continue for the Useful Life of the Project Patents.
