Vendor Technology definition

Vendor Technology means all of Vendor’s proprietary technology (including software, hardware, products, processes, algorithms, user interfaces, know-how, techniques, designs, and other tangible or intangible technical material or information) made available to Customer by Vendor in providing the Service.
Vendor Technology means virtual tour images and software and hardware used to capture, process and view the virtual tour images.
Vendor Technology means all proprietary technology (including the proprietary software products identified as Dynamo™, PEView™, Preqin Solutions ™, and any other proprietary software, hardware, products, processes, algorithms, user interfaces, know-how, techniques, designs and other tangible or intangible technical material or information) of Vendor or its Affiliates or licensors made available to You by Vendor in providing the Service;

Examples of Vendor Technology in a sentence

  • Upon expiration or termination of a Pricing Sheet the license rights granted to Customer with respect to the Services, the Software and the Vendor Technology pursuant to that Pricing Sheet also terminate.

  • Except as expressly set forth herein, Customer does not obtain any rights to the Services, the Software or the Vendor Technology, and no IP Rights associated therewith are transferred to Customer, any Authorized User or any third party.

  • Any breach of Customer’s payment obligations or unauthorized use of the Vendor Technology or Service will be deemed a material breach of this Agreement.

Vendor Technology refers to any proprietary technology of Automatic or any Other Vendor that is made available for Your use under this Agreement. "We", "Us", "Our" means emovis technologies US, Inc., a Delaware corporation with its principal place of business in Westbury, New York (“emovis”). Neither the Washington State Transportation Commission, the State of Washington, nor any of its consultants, agents or assignees are a party to this Agreement.

Under 45 CFR 92.34 and the terms of the cooperative agreement, HHS retains a royalty-free, nonexclusive, irrevocable license to reproduce, publish or otherwise use, for Federal Government purposes, the copyright in any work developed under the grant, or a subgrant or subcontract, and in any rights to a copyright purchased with grant support. HHS shall be provided with a working electronic copy of the software (including object source and code) with the right to distribute it to others for Federal purposes consistent with and throughout the execution of the Cooperative Agreement.
