Voting Instruction Card definition

Voting Instruction Card shall have the meaning given to such term in Section 4.10 hereof.
Voting Instruction Card has the meaning ascribed thereto in section 3.1(a).

  • The Depositary will not cause to be voted Shares represented by ADSs in respect of which the Voting Instruction Card is improperly completed or in respect of which (and to the extent) the voting instructions included in the Voting Instruction Card are illegible or unclear.

  • The Depositary will only vote, or cause to be voted, or attempt to exercise the right to vote that attaches to, Shares represented by American Depositary Shares in respect of which a properly completed Voting Instruction Card has been received.

  • Neither the Depositary nor the Custodian shall under any circumstances exercise any discretion as to voting and neither the Depositary nor the Custodian shall vote, attempt to exercise the right to vote, or in any way make use of for purposes of establishing a quorum or otherwise, the Deposited Securities represented by ADSs, except pursuant to and in accordance with the Voting Instruction Card received from Holders or as otherwise contemplated herein.

  • Deposited Securities represented by ADSs for which no timely Voting Instruction Card or related confirmation of beneficial ownership received by the Depositary from the Holder shall not be voted.

  • The Depositary agrees, upon receipt of such contact, to promptly notify the Company of such contact and to forward the Voting Instruction Card, upon receipt thereof, to the Company.
