Voting Proxy An ad hoc written power of attorney granted by the Voting Depository, with the right of substitution, to a ▇▇ ▇▇▇▇▇▇, pursuant to which that ▇▇ ▇▇▇▇▇▇ (or his proxy) can exercise at a particular General Meeting, on the Voting Depository’s behalf, the Voting Rights attached to the Special Voting Share(s) to which the DR(s) of such ▇▇ ▇▇▇▇▇▇ is/are stapled.
Without limiting the foregoing, Securityholder shall deliver to Jordan a duly executed Irrevocable Voting Proxy in the form of Exhibit A hereto, which shall be irrevocable to the fullest extent permissible by law, in the form attached hereto simultaneously with the execution hereof.
