Voting Proxy definition

Voting Proxy means that certain Irrevocable Proxy by Seller in favor of one of the Subordinated Creditors, with respect to the voting rights and related rights of the Exchange Shares.
Voting Proxy means the person appointed by an elector to vote on their behalf.
