Without limiting any of the rights of Indemnitee under the Articles Sample Clauses
This clause clarifies that the rights granted to the Indemnitee under the current agreement are in addition to, and do not restrict, any rights the Indemnitee may already have under the company's Articles of Incorporation or similar governing documents. For example, if the Articles provide for certain protections or indemnification rights, those remain fully in effect regardless of what is stated in this agreement. The core function of this clause is to ensure that the Indemnitee retains all existing protections and benefits, preventing the agreement from unintentionally reducing or overriding those rights.
Without limiting any of the rights of Indemnitee under the Articles as they may be amended from time to time, this Agreement constitutes the entire agreement between the parties hereto with respect to the subject matter hereof and supersedes all prior agreements and understandings, oral, written and implied, between the parties hereto with respect to the subject matter hereof.
