Fees under this subsection (b)(i) shall accrue for each day from and after the issuance of the initial Letter of Credit, and accrued fees shall be payable on each Quarterly Date and on the earlier of the date the Working Capital Commitments are terminated or the last day of the Working Capital Availability Period and, if later, on the first day thereafter on which no Letters of Credit are outstanding.
No Letter of Credit shall have a term extending beyond the earlier of (i) one year from the date of issuance and (ii) seven Business Days prior to the last day of the Working Capital Availability Period.
The non-utilization fees shall accrue at all times during the Working Capital Availability Period, including at any time during which one or more of the conditions in Article V are not met, and shall be due and payable quarterly in arrears within fifteen (15) days of the last Business Day of each March, June, September and December, commencing with the first such date to occur after the Closing Date, and on the Expiration Date.
