GENERAL TERMS AND CONDITIONS OF SALE

1 - Clausola generale

1 - General

La vendita dei prodotti di Midac S.p.A. (di seguito “Prodotti”) è regolata dalle seguenti Condizioni Generali di Vendita (di seguito “CGV”) quando le stesse sono state pattuite o richiamate dalle parti in ordini/conferme d’ordine/contratti. Qualsiasi modifica, aggiunta o deroga è valida soltanto nel caso in cui sia stata accettata per iscritto da Midac S.p.A (di seguito “Midac”) quale integrazione alle CGV. Le presenti CGV si applicano anche ai futuri contratti tra le stesse parti, salvo che le stesse non ne abbiano espressamente escluso l’applicazione.

The sale of Midac S.p.A. products (hereinafter the “Products”) shall be governed by the following General Terms and Conditions of Sale (hereinafter the “Conditions”) where said Conditions have been agreed or referred to by the parties in orders/order confirmations/agreements. Any amendments to these Conditions shall be valid only after Midac S.p.A (hereinafter “Midac”) has accepted them in writing as amending these Conditions and forming an integral part thereof. These Conditions also apply to future contracts between the same parties, unless the parties have

expressly excluded their application.

Eventuali accordi verbali, dichiarazioni o impegni di distributori, agenti o impiegati di Midac non saranno

vincolanti per quest’ultima se non confermati per iscritto.

Any verbal agreements, declarations or commitments of distributors, agents or employees of Midac will not be

binding for Midac unless confirmed in writing.

Le presenti CGV prevalgono sulle condizioni generali di acquisto del Cliente ove queste ultime non siano state espressamente accettate da Midac.

These Conditions shall prevail over the general conditions of purchase of the Customer where said general conditions of purchase of the Customer have not been

expressly accepted by Midac.

2 – Caratteristiche dei Prodotti – Limitazioni d’uso

2 - Product Characteristics - Limitations of Use

Eventuali informazioni o dati sulle caratteristiche e/o specifiche tecniche dei Prodotti contenute in dépliant, listini prezzi, cataloghi o documenti similari, saranno vincolanti solo nella misura in cui tali dati siano stati espressamente richiamati dalle parti in accordi scritti.

Si intendono in ogni caso ammesse le tolleranze d’uso, ovvero quelle previste dai capitolati o disegni convenuti, sia sui Prodotti finiti che sui singoli elementi che li compongono.

Eventuali modifiche tecniche proposte dal Cliente dopo la conclusione del contratto potranno formare oggetto di trattativa tra le parti, essendo però inteso che le stesse sono subordinate ad un successivo accordo scritto, nel quale si dovranno specificare le eventuali ripercussioni delle modifiche sul prezzo e sui termini di consegna. Ove non si pervenga ad un accordo, rimarranno in vigore le condizioni pattuite originariamente tra le parti.

I disegni e la documentazione tecnica messi a disposizione del Cliente, prima o dopo la formazione del contratto, restano di proprietà di Midac. Il Cliente potrà servirsene unicamente per l’installazione, la posa in opera, l’utilizzazione e la manutenzione dei Prodotti. Essi non potranno essere utilizzati in altro modo, né in particolare copiati, trasmessi o comunicati a terzi, se non

con il consenso di Midac.

Any information or data on the characteristics and/or technical specifications of the Products contained in leaflets, price lists, catalogs or similar documents, will be binding only to the extent to which these data have been expressly referred to by the parties in written agreements.

In any case, the tolerances of use are admitted, meaning those foreseen by the agreed specifications or drawings, both on the Products and on the single elements that compose them.

Any technical changes proposed by the Customer after finalizing the contract will be subject to negotiation between the parties, however, it is understood that they are subject to a subsequent written agreement, which will specify any impact of changes on the price and terms of delivery. If no agreement is reached, the conditions originally agreed between the parties will remain in force. The drawings and technical documentation made available to the Customer, before or after the negotiation of the contract, remain the property of Midac. The Customer may use it only for the installation, use and maintenance of the Products. They may not be used in any other way, nor in particular copied, transmitted or communicated to third parties, except with the consent

of Midac.

3 – Conclusione del contratto

Listini, preventivi, offerte e prezzi potranno subire, in qualsiasi momento variazioni a insindacabile giudizio di ▇▇▇▇▇, ferma restando l’esecuzione degli

ordini accettati alle condizioni pattuite.

Price lists, quotes, offers and prices may undergo, at any time, variations at the unquestionable judgment of ▇▇▇▇▇, without prejudice to the execution of orders accepted under the agreed

conditions.

4 - Ordini ed esecuzione

Midac potrà accettare, in tutto o in parte, l’ordine del Cliente mediante la consegna dei Prodotti, ai sensi dell’art. 6, entro il termine indicato nell’ordine, comunque non superiore a 15 (quindici) giorni. Entro il medesimo termine Midac potrà comunicare al Cliente la non accettazione dell’ordine stesso. L’ordine costituirà proposta irrevocabile del Cliente per il predetto termine, per tutti e/o parte dei Prodotti ordinati. In caso di accettazione parziale, ▇▇▇▇▇ non sarà tenuta a effettuare alcuna comunicazione al Cliente. In caso di accettazione parziale mediante esecuzione di parte dell’ordine Midac non sarà tenuta a dare corso ad ulteriori esecuzioni parziali dello stesso ordine. Midac potrà in qualsiasi momento sospendere o interrompere la commercializzazione e/o la produzione di un Prodotto ovvero modificarne qualsiasi caratteristica, variandone anche il prezzo, anche nel corso della fornitura (quale

rapporto di durata).

In case of partial acceptance by execution of part of the order Midac will not be required to perform further partial executions of the same order. Midac may at any time suspend or discontinue the marketing and / or production of a Product or change any characteristics, also varying the price, even during the supply (to be intended as a duration contract).

5 - Prezzi

5 - Prices

I prezzi indicati nel listino Midac si intendono per singolo Prodotto, compreso l’imballaggio – secondo gli usi del settore in relazione al mezzo di trasporto pattuito -, al netto di imposte, oneri doganali e fiscali. Se non diversamente convenuto i prezzi dei Prodotti si intendono franco fabbrica Midac (EXW - caricato - Incoterm 2010). I prezzi indicati nel listino potranno variare in qualsiasi momento, in base all’andamento dei costi dei fattori di produzione e delle materie prime.

La fornitura di pallets, dogature e/o altri imballi potrà essere soggetta alla richiesta di contributi.

La presa in consegna della merce da parte del trasportatore/spedizioniere senza alcun reclamo è conferma dell’adeguatezza dell’imballaggio utilizzato da

Midac.

The prices indicated in Midac’s price list are for each Product, including packaging - according to the uses of the sector in relation to the agreed means of transport - net of taxes, customs duties and tax charges. Unless otherwise agreed, the prices of the Products are intended ex works Midac (EXW - loaded - Incoterm 2010). The prices indicated in the price list may change at any time, based on the development of costs of production factors and raw materials.

The supply of pallets, slats and/or other packaging may be subject to the request for contributions.

The taking over of the goods by the carrier/forwarder without any complaint is confirmation of the suitability of the packaging used by Midac

6 - Consegna

6 - Delivery

La consegna avviene EXW - caricato - stabilimenti Midac per conto del Cliente mediante carico sui mezzi di trasporto del vettore. I termini di consegna dei Prodotti decorrono dalla ricezione dell’ordine da parte di Midac oppure, se successiva, dall’attuazione da parte del Cliente degli obblighi eventualmente posti a suo carico (ad es. presentazione di documenti) oppure dall’esecuzione di pagamenti anticipati se pattuiti. L’ordine è eseguito alla data di carico dei Prodotti da parte del vettore. Midac non risponderà della ritardata, parziale o mancata esecuzione di ordini causata da forza maggiore o caso fortuito o da un evento eccezionale che si ponga al di fuori della ragionevole sfera di controllo di ▇▇▇▇▇ (ad es. ritardi di consegna dei fornitori di Midac, disguidi dei trasporti, conflitti sindacali, mancanza di materia prima e di energia, provvedimenti da parte delle Autorità, restrizioni nelle importazioni ed esportazioni ecc.). Ogni impegno di Midac è comunque subordinato alla possibilità di approvvigionamento delle materie prime

necessarie.

Delivery takes place EXW - loaded - Midac premises on behalf of the Customer by loading on the carrier's means of transport. I Prodotti saranno inviati da Midac nel luogo indicato dal Cliente sull’ordine, a nulla rilevando la diversità di tale luogo con la sede del Cliente. Qualora il Cliente non ritiri i Prodotti, ▇▇▇▇▇ potrà conservarli in magazzino a spese e rischio del Cliente, il quale sarà obbligato a pagarne il prezzo, salva ogni altra facoltà di legge.

8 - Pagamento

Il pagamento per essere valido e liberatorio deve essere effettuato per intero presso la sede di Midac entro 30 giorni data fattura, fatto salvo diversa pattuizione scritta nella conferma d’ordine. Il pagamento deve essere effettuato entro il termine convenuto anche se la consegna viene ritardata per ragioni di trasporto per cause a Midac non imputabili e non potrà essere sospeso in assenza di autorizzazione scritta di Midac anche nel

caso di parziale residua fornitura in corso.

To be valid and effective the payment must be made in full at Midac’s within 30 days of the invoice date, unless otherwise agreed in writing in the order confirmation. If Midac has reason to fear that the Customer cannot or does not intend to pay the Products on the agreed date, Midac may make the delivery of the Products subject to the provision of adequate payment guarantees (eg guarantees).

9 - Riserva di proprietà

9 - Retention of title

Resta inteso tra le parti contraenti che il Prodotto oggetto della vendita rimarrà di proprietà Midac sino a quando il Cliente non avrà adempiuto a tutte le sue obbligazioni.

E’ consentito utilizzare i Prodotti il cui diritto di proprietà sia riservato, solo nell’ordinaria attività commerciale ed a condizione che il Cliente si riservi il diritto di proprietà per i suoi acquirenti. Al Cliente è consentito lavorare la merce con diritto di riserva di proprietà, tali Prodotti anche se lavorati, incorporati o fissati a qualcosa, vengono comunque ancora considerati Prodotti con diritto di riserva di proprietà. Il Cliente non è autorizzato a disporre ulteriormente dei beni merce il cui diritto di proprietà sia riservato. In caso di pignoramento o sequestro dei Prodotti con riserva del diritto di proprietà, il Cliente deve informare ▇▇▇▇▇: le spese dell’intervento di ▇▇▇▇▇ saranno a carico del Cliente. Qualora i Prodotti con riserva del diritto di proprietà venissero ulteriormente ceduti, il Cliente cede a Midac i suoi diritti nei confronti degli acquirenti. Su richiesta di Midac il Cliente notificherà al suo acquirente la cessione del proprio diritto a Midac e trasmetterà a Midac la documentazione e le informazioni necessarie per consentire a Midac di far valere i suoi diritti.

Il Cliente si impegna ad assistere Midac nel porre in

essere le misure eventualmente necessarie per proteggere il diritto di proprietà di Midac.

The parties hereby agree that Midac will retain title to the Product sold and that title shall only pass to Customer upon fulfillment of all his obligations.

It is allowed to use the Products whose property rights are reserved, only in the ordinary commercial activity and on condition that the Customer reserves the right of ownership against its buyers. The Customer is allowed to work the goods covered by retention of title, these Products even if crafted, incorporated or fixed to something, are still considered Products covered by right of retention of title. The Customer is not authorized to further dispose of the goods whose property rights are reserved. In case the Products subject to retention of title are under seizure or on bail, the Customer must inform Midac: the costs of the intervention of Midac will be charged to the Customer. If the Products subject to retention of title are further transferred, the Customer shall transfer its rights towards the buyers to Midac. At Midac's request, the Customer will notify its purchaser of the assignment of its right to Midac and will transmit to Midac the documentation and information necessary to enable Midac to enforce its rights.

The Customer undertakes to assist Midac in taking any measures necessary to protect Midac's property rights.

10 - Garanzia

10 - Guarantee

Il presente art. 11 trova applicazione in quanto non derogato da specifici accordi conclusi per iscritto tra Midac e il Cliente e, in tal caso, nella misura in cui sia con essi compatibile. I Prodotti sono progettati e fabbricati nel rispetto della più elevata qualità e secondo le specifiche indicate da Midac, le indicazioni ed istruzioni di Midac si basano su ricerche ed esperienza; questo non è comunque vincolante ed il Cliente non è esente dalla responsabilità di controllare i Prodotti e di trattarli a seconda delle circostanze e dell’utilizzo degli stessi.

Trovano applicazione le norme di legge; se non diversamente specificato per il tipo di Prodotto, il periodo

di garanzia è di anni 1 (uno) dalla data di consegna e

The present art. 11 is applied as it is not waived by specific written agreements between Midac and the Customer and, in this case, to the extent that is compatible with them. The Products are designed and manufactured in compliance with the highest quality standards and in accordance with the specifications provided by Midac, the information and instructions of Midac are based on research and experience; this is not however binding and the Customer bears the responsibility to control the Products and to treat them according to the circumstances and the use of the same. Laws are applicable; unless otherwise specified for the

type of Product, the warranty period is 1 (one) year from

Non sono in ogni caso coperti da garanzia e Midac è pertanto sollevata da ogni e qualsiasi responsabilità a qualsiasi titolo, anche di “Product Liability” in ipotesi di: (i) eventuali avarie di trasporto (graffi, ammaccature e simili); (ii) danni e malfunzionamenti dovuti e originati da errata installazione dei Prodotti; (iii) alterazioni derivanti da condizioni ambientali, climatiche o d’altra natura; (iv) danni e avarie causate da trascuratezza, negligenza, manomissione, disassemblaggio, incapacità d’uso, o riparazioni effettuate da personale non autorizzato; (v) errata manutenzione; (vi) ciò che può essere considerato normale deperimento per uso del Prodotto; (vii) danni e malfunzionamenti conseguenti un uso improprio e scorretto del Prodotto, difforme e in contrasto con le

indicazioni d’uso.

The right to the guarantee is subject to compliance with the provisions present art. 11. In any case, Products are not covered by warranty and Midac is therefore relieved from any and all liability in any case, including "Product Liability" in the event of: (i) any transport failures (scratches, dents and similar); (ii) damages and malfunctions due to and originated by incorrect installation of the Products; (iii) alterations deriving from environmental, climatic or other conditions; (iv) damages and failures caused by carelessness, negligence, tampering, disassembly, inability to use, or repairs carried out by unauthorized personnel; (v) incorrect maintenance; (vi) what may be considered normal deterioration due to use of the Product; (vii) damage and malfunction resulting from improper and incorrect use of the Product, which is

inconsistent and in contrast with the instructions for use.

Qualora al ricevimento dei Prodotti, il Cliente verifichi la non conformità, eventuali reclami per vizi e difetti apparenti e non dei Prodotti dovranno essere proposti dal Cliente mediante raccomandata AR, a pena di decadenza, entro 8 (otto) giorni dalla scoperta dei vizi, o entro diverso termine stabilito dalla legge, ed i Prodotti difettosi dovranno essere resi a cura e spese del Cliente franco stabilimento Midac in base alle istruzioni fornite da Midac. E’ inteso che eventuali reclami o contenziosi non danno diritto al Cliente di sospendere o comunque ritardare i pagamenti dei Prodotti oggetto di contestazione né, tanto meno, di altre forniture.

Unicamente dopo che l’ufficio Controllo Qualità di Midac ne avrà constatato la difettosità, i Prodotti eventualmente riconosciuti difettosi saranno riparati/sostituiti/rimborsati da Midac.

In ogni caso la responsabilità di ▇▇▇▇▇ e dei suoi agenti e/o distributori e/o ogni altro intermediario di Midac, è limitata all’importo massimo del prezzo di vendita del Prodotto.

Midac non offre garanzie, espresse o implicite, che estendano la propria responsabilità oltre a quanto espressamente indicato al presente articolo. E’ sempre escluso il risarcimento dei danni indiretti.

Nessun agente e/o distributori e/o ogni altro intermediario di ▇▇▇▇▇ è autorizzato ad offrire garanzie ulteriori rispetto a quelle contenute nelle presenti CGV, salvo espressa autorizzazione scritta da parte di Midac. Si specifica, inoltre, che per le materie prime non espressamente realizzate da ▇▇▇▇▇, la stessa garantisce

nella medesima forma che riceve dai propri fornitori.

Should the Client, having received the Products, notice either an apparent or a hidden defect, he shall communicate it in writing to Midac, by registered letter, under penalty of forfeiture, within 8 (eight) days from the discovery of the defects, or within a different time period established by law. The Customer, at his own expenses, shall deliver the defective Products to Midac’s premises in accordance with the instructions given by Midac. It is understood that any complaints or disputes do not entitle the Customer to suspend or in any case delay the payments of the Products subject to dispute or, even less, of other supplies.

Only in case a defect has actually been ascertained by Midac ‘s quality control office, the defective Products will be mended/replaced/refunded by Midac.

In any event, Midac ‘s liability, as well as the liability of its agents and/or distributors and/or any other brokers shall not exceed the maximum sale price of the Product.

Midac‘s liability does not exceed the limits set forth in the present paragraph. Compensation of indirect damages is always excluded.

Except upon Midac‘s express written authorisation, none of its agents and/or distributors and/or other brokers are authorised to give further guarantees other than those provided for in these Conditions. It is specified that Midac guarantees the materials produced by its suppliers within the limits of the guarantees given by such suppliers to Midac.

11 – Prestazioni aggiuntive (Installazione)

L’installazione e/o la posa in opera dei Prodotti presso il

The installation and / or assembly of the Products c/o the

Cliente non rientrano in linea di principio nel contratto; Midac sarà tenuta ad effettuare tali prestazioni aggiuntive solo nella misura in cui abbia assunto per iscritto un impegno in tale senso. A meno che le suddette prestazioni aggiuntive non siano state espressamente incluse nel prezzo dei Prodotti, esse vanno fatturate in aggiunta a tale prezzo.

Quando ▇▇▇▇▇ debba provvedere all’installazione, montaggio e/o messa in funzione dei Prodotti, il Cliente sarà tenuto, a sue spese, a realizzare tempestivamente i lavori e le opere occorrenti per consentire a Midac l’esecuzione delle proprie prestazioni e dovrà mettere gratuitamente a disposizione di Midac i materiali di consumo, anergia, acqua, luce, servizi, attrezzature, personale d’aiuto e manovalanza, e quant’altro ragionevolmente necessario per consentire a Midac di

effettuare le prestazioni convenute.

When Midac has to provide for the installation, assembly and / or commissioning of the Products, the Customer will be required, at its own expense, to promptly complete the work and the necessary activities to allow Midac to perform its services and must make available to Midac, free of charge, the consumables, energy, water, light, services, equipment, help staff and laborers, and anything else reasonably necessary to allow Midac to perform the agreed services.

12 - Sospensione dell’esecuzione degli ordini e

Midac avrà facoltà di non eseguire, in tutto o in parte, l’ordine, anche se confermato, qualora il Cliente: (i) sia divenuto insolvente; (ii) sia in mora nel pagamento di qualsiasi somma dovuta a Midac per qualsiasi ragione;

(iii) sia posto in liquidazione; (iv) sia sottoposto a una procedura concorsuale; (v) abbia subito protesti di assegni o cambiali; (vi) abbia subito la revoca dell’autorizzazione all’emissione di assegni bancari. In tutte le ipotesi previste nel presente articolo il Cliente decadrà automaticamente dal beneficio di eventuali termini, non ancora scaduti, per il pagamento di somme

dovute a Midac a qualsiasi titolo.

Midac will have the right not to execute, in whole or in part, the order, even if confirmed, if the Customer: (i) has become insolvent; (ii) is in default in paying any sum due to Midac for any reason; (iii) entered winding up procedure; (iv) is subject to a bankruptcy procedure; (v) has been subjected to checks or bills; (vi) has been revoked of the authorization to issue bank checks. In all the cases provided for in this article, Midac will invoke the acceleration clause with reference to any terms, not yet expired, for the payment of amounts due to Midac for any reason.

13 - Legge applicabile e foro competente

Quale che sia il luogo nel quale ha sede il Cliente, la vendita tra Midac e il Cliente è regolata dalla legge italiana (è esclusa l’applicazione della convenzione di Vienna sulla vendita internazionale) ed è soggetta alla giurisdizione italiana. La risoluzione di ogni controversia sarà devoluta alla competenza esclusiva del Foro di

Vicenza.

Whatever the place of business of the Customer may be, the sale of the Products between Midac and the Customer shall be governed by the laws of Italy (the application of the Vienna Convention on international sale is excluded). The Court of Vicenza shall have exclusive jurisdiction for any disputes that may arise

in connection with the sale and the present Conditions.

Il Cliente si impegna, pertanto, anche per i propri dipendenti – ai sensi e per gli effetti dell’art. 1381 c.c. a tenere un comportamento in linea con quanto stabilito dai suddetti documenti (Codice Etico e Modello di Organizzazione e Gestione, per le parti applicabili) e, in ogni caso, si impegna a mantenere una condotta tale da non esporre Midac al rischio dell'applicazione delle sanzioni previste dal D.Lgs. n. 231/2001.

L'inosservanza di tale impegno costituirà grave inadempimento contrattuale e legittimerà Midac a risolvere il presente contratto con effetto immediato, ai sensi e per gli effetti di cui all'art. 1456 c.c., fermo

restando il risarcimento dei danni.

Failure to comply with this undertaking constitutes serious breach of contract and shall entitle the Company to terminate the contract with immediate effect, pursuant to and by effect of art. 1456 cc, without prejudice to the right to compensation for the Company of all the damages suffered due to the termination of the

contract.
