1、账号注册

您同意并了解，华通证券国际平台服务仅依其当前所呈现的状况提供，对于任何用户通讯或个人化设定之时效、删除、传递错误、未予储存或其他任何问题，华通证券国际平台均不承担任何责任。华通证券国际平台保留不经事先通知为维修、升级或其他目的暂停华通证券国际平台服务任何部分的权利。为使用“华通证券国际平台服务”，您必须能够自行经有法律资格对您提供互联网接入服务的第三方，并应自行支付相关服务费用。此外，您必须自行配备及负责与国际联网连线所需之一切必要装备，包括计算机、数据机或其他存取装置。
华通证券国际平台的域名、用户帐号和用户空间的所有权归华通证券国际平台，用户经过许可有使用权。华通证券国际平台将为用户提供交易，信息查询等服务，并在服务过程中根据有关文件、协议和/或平台页面的相关规则、说明等收取必要的服务或管理费用，其具体内容、比例、金额等事项请参见有关文件及平台相关页面的规则和说明（包括但不限于，就您每一笔成功转让的股权收益权及数字收益凭证，平台有权基于您所转让股权收益权及数字收益凭证的金额向您收取一定比例的转让管理费等款项作为服务费用，具体比例及金额等请参见华通证券国际平台的相关规则和说明）。您同意，华通证券国际平台有权不时调整前述服务或管理费用的类型或金额等具体事项并根据本协议和相关规则进行公告、修改。
3、用户行为
3.1.用户在使用 华通证券国际平台服务时，必须遵守中华人民共和国相关法律法规的规定，用户应同意将不会利用华通证券国际平台服务进行任何违法或不正当的活动，包括但不限于下列行为∶用户不能上传、展示、张贴、传播或以其它方式传送含有下列内容之一的信息：
1)反对宪法所确定的基本原则的；
2)危害国家安全，泄露国家秘密，颠覆国家政权，破坏国家统一的；
3)损害国家荣誉和利益的；
4)煽动民族仇恨、民族歧视、破坏民族团结的；
5)破坏国家宗教政策，宣扬邪教和封建迷信的；
6)散布谣言，扰乱社会秩序，破坏社会稳定的；
7)散布淫秽、色情、赌博、暴力、凶杀、恐怖或者教唆犯罪的；
8)侮辱或者诽谤他人，侵害他人合法权利的；
9)含有虚假、有害、胁迫、侵害他人隐私、骚扰、侵害、中伤、粗俗、猥亵、或其它道德上令人反感的内容；
10)含有中国法律、法规、规章、条例以及任何具有法律效力之规范所限制或禁止的其它内容的；
11)不得为任何非法目的而使用网络服务系统。
3.2.用户不能利用 华通证券国际平台服务从事以下活动：
1)未经允许，进入计算机信息网络或者使用计算机信息网络资源的；
2)未经允许，对计算机信息网络功能进行删除、修改或者增加的；
3)未经允许，对进入计算机信息网络中存储、处理或者传输的数据和应用程序进行删除、修改或者增加的；
4)故意制作、传播计算机病毒等破坏性程序的；
5)其他危害计算机信息网络安全的行为。
如用户在使用网络服务时违反任何上述规定，华通证券国际平台或其授权的人有权要求用户改正或直接采取一切必要的措施(包括但不限于更改或删除用户张贴的内容等、暂停或终止用户使用网络服务的权利)以减轻和消除用户不当行为造成的影响。
用户不得对华通证券国际平台服务任何部分，以及在使用华通证券国际平台服务的过程中获取的信息进行复制、拷贝、出售、转售或用于任何其它商业目的。
用户须对自己在使用华通证券国际平台服务过程中的行为承担法律责任。用户承担法律责任的形式包括但不限于：对受到侵害者进行赔偿，以及在网站首先承担了因用户行为导致的行政处罚或侵权损害赔偿责任后，给予华通证券国际平台等额的赔偿，并承担华通证券国际平台因此而支付的费用成本，包括但不限于律师费等。
4、与广告商及其他第三方进行交易
您通过华通证券国际平台网站与在网站上投放广告的广告商及其他第三方进行任何形式的通讯或商业往来，或参与促销活动，包含相关商品或服务之付款及交付，以及达成的其它
任何相关条款、条件、保证或声明，完全为您与广告商及其他第三方之间之行为。您因前述任何交易或前述广告商及其他第三方而遭受的任何性质的损失或损害，华通证券国际平台对此不承担任何法律责任。
5、华通证券国际平台用户的专属权利
一旦成为华通证券国际平台用户，即拥有以下权利：▇
1)在华通证券国际平台服务使用过程中有任何疑问要咨询，或者遇到任何问题要解决，华通证券国际平台用户有权随时向华通证券国际平台客户服务人员提出要求解决。
2)对华通证券国际平台发展有任何意见或者建议，华通证券国际平台用户有权随时向华通证券国际平台提出，共同推进华通证券国际平台的发展。
3)如果在华通证券国际平台内发现任何非法、虚假或者其他它不合适的内容，华通证券国际平台用户有权随时向华通证券国际平台官方账户进行举报和投诉。
6、华通证券国际平台的专属权利
为了更好地服务于华通证券国际平台用户，华通证券国际平台拥有以下权利：
1)华通证券国际平台有权在用户许可的情况下将网站、账号、账户、服务的相关信息通过电子邮件、杂志等方式发送给用户；
2)华通证券国际平台有权对不同用户进行分类和分级，并对不同类别或级别用户开放不同的权限；
3)在不透露单个用户隐私资料的前提下，华通证券国际平台有权对整个用户数据库进行分析并发布分析结果，同时有权对用户数据库进行商业上的利用；
4)华通证券国际平台有权对公开发布的项目进行甄选，并向受让方推荐；

1. Account registration
Waton user is a person who opens an account on Waton
by registering an account on the Waton website (registered user or filling in personal information. Please read terms of usecarefully before using Waton services.
If you do not agree to these terms of use (if there are nospecial instructions below Terms of Use include amendments made to these terms of use at anytime), please stop using all services provided by Waton immediately; once you register anaccount or fill in personal
information and becoming a Waton user means that you have understood and
fully agreed to the contents of these Terms of Use and any amendment made to Terms of Use at any time. In order to be able to use Waton Servicesyou understand and agreeto the following: You must fill in your real name, registered email address and password according
to the registration prompts, and fill in your real personal information, including personal information. Waton services are not provided to minors under the age of 18 or users
who havebeen suspended or deleted by Waton for any reasonable reason.
2. Services and fees
Waton provides the transferee with a platform for equity investment and equity
transfer inenterprises. We aim to help investors get high-quality projects through our services.
Waton currently provides users with services via the Internet such as online investment transactions(including PC and mobile terminals). Unless otherwise specified, adding or improving any newfunctions of Waton services, including new products launched, are regulated by terms of use.
You agree and understand that Waton services are only provided in accordance with currentstatus, and Waton will not be responsible for any user communication
or personalizationsetting timeliness, deletion, transmission errors, non-storage or any other problems. Waton reserves the right to suspend any part of Waton
services for maintenance, upgrade or otherpurposes without prior notice. In order to use Waton
services, you must be able to cooperatewith a third party who is legally qualified to provide Internet access services to you, and youshould pay for the relevant services yourself. In addition, you must prepare and be responsible forall necessary equipment for connecting to the international network, including computers,modems or other access devices.
The ownership of the domain name, user account, and user space of W Broke belongs to Waton , and users have right to use it with permission. Waton will provide users with
services such astransactions and information inquiry, and will charge necessary service or management fees inaccordance with relevant documents, agreements, and/or relevant rules and instructions on Waton page during the service. For the specific content, proportion, and amount, please refer tothe relevant documents and the rules and
instructions on the relevant pages of the Waton . Thefee includes but is not limited to
a certain percentage of transfer management fees as a service feebased on the amount of
your transferred equity income rights and digital income certificates foreach of your transferred equity income rights and digital income certificates. Please refer to therelevant rules and instructions of Waton for the specific ratio and amount. You agree that Waton
has the right to adjust specific matters such as the type or amount of the aforementioned
services or management fees from time to time and make announcements and modifications in accordance with this agreement and relevant rules.
3. User behavior
3.1. When using Waton services,
users must abide by the relevant laws and regulations of the People’s Republic of China. Users should agree that they will not use Waton services for anyillegal or improper activities, including but not limited to the following:
Users are not allowed to upload, display, post, disseminate or otherwise transmit information containing one of the following contents:
1) Opposing the basic principles established by the Constitution;
2) Endangering national security, leaking state secrets, subverting state power, and undermining national unity;
3) Damage to national honor and interests;
4) Inciting ethnic hatred, ethnic discrimination, and undermining ethnic unity;
5) Undermining the state's religious policies, promoting cults and feudal superstitions;
6) Spreading rumors, disrupt social order, and undermine social stability;
7) Spreading obscenity, pornography, gambling, violence, homicide, terror or instigate crime;
8) Insulting or slandering, and infringe the legal rights of others;
9) Containing false, harmful, intimidating, infringement of the privacy of others, harassment, infringement, slander, vulgar, obscene, or other morally offensive content;
10) Containing other contents restricted or prohibited by Chinese laws, regulations, rules, regulations and any norms with legal effect;
11) Using the network service system for any illegal purpose.
3.2. Users cannot use Waton services to engage in the following activities:
1) Entering the computer information network or using computer information network resources without permission;
2) Deleting, modifying, or adding computer information network functions without permission;
3) Deleting, modifying, or adding data and applications stored, processed or transmitted in the computer information network without permission;
4) Deliberately making and spreading computer viruses and other destructive programs;
5) Other acts that endanger the security of computer information networks.
If the user violates any of the above regulations when using the network service, Waton or itsauthorized person has the right to request the user to correct or directly take all necessarymeasures (including but not limited to changing or deleting the content posted by the user,suspending or terminating the user right to use network services) to reduce and eliminate theimpact of users’ improper behavior.
Users are not allowed to copy, sell, resell, or use any part of Waton services and informationobtained in using Waton services or for any other commercial purposes.
Users shall bear legal responsibility for their actions in using Waton services. The user’
s legalliability includes but is not limited to: compensation for the infringed, the same amount of compensation to Waton after the administrative penalty or
compensation for infringementdamages caused by the user’s behavior, and the cost of fees paid by the platform as a result,including but not limited to attorney fees.
4. Deal with advertisers and other third parties
You conduct any form of communication or business dealings with advertisers and other third parties who place advertisements on the website through Waton website, or
participate inpromotional activities, including the payment and delivery of related goods or services, and anyother relevant terms, conditions, guarantees or declarations entirely between you and advertisersand other third parties.
For any loss or damage of any nature suffered by you as a result of any of the foregoing transactions or the foregoing advertisers and other third parties, Waton shall not
bear any legal responsibility.
5. Exclusive rights of Waton users
Once you become a Waton user, you have the following rights:
1) If you have any question during the use of Waton services,
or if you encounter any problems,you have the right to ask the customer service team of Waton
for help at any time.
2) If you have any opinion or suggestion on the development of ▇▇▇▇▇ , you have the right to
submit them to Waton at any time to jointly promote the development.
3) If any illegal, false or other inappropriate content is found on Waton ,
you have the right to report and complain to the official account of Waton at any time.
6. Exclusive rights of Waton
In order to serve users better, Waton has the following rights:
1) Waton has the right to send relevant information about the website, account number, account,and service to users via emails, magazines, etc., with the user's permission;
2) Waton has the right to classify users and open permissions to different users by categories or levels;
3) Under the premise of not disclosing the private information of a single user, ▇▇▇▇▇
has theright to analyze the entire user database and publish the analysis results, and at the same time hasthe right to make commercial use of the user database;
4) Waton has the right to select publicly released projects and recommend them to thetransferee;

2) Disclaimer: You acknowledge and agree that Waton does not guarantee that the services provided will not be interrupted or will be entirely free of errors. You will be solely responsible for any consequences arising from your use of Waton services. Waton will not be liable
